Summary of the March 25, 2011 Board of Directors Meeting

Board Update

The Girl Scouts of the Missouri Heartland Board of Directors met March 25 at Lodge of the Four Seasons in Lake Ozark, Mo.

Actions taken by the Board included:

• approval of March 31, 2012 as the date for the Council's 100th Anniversary Annual Meeting;

• approval of Certified Financial Planner Dennis Heim of Heim, Young & Associates financial planning firm in Springfield, Mo., to serve on the Finance Committee;

• approval of Wende Pruden of Sikeston, Mo., a community volunteer with professional experience in facilities management and construction and volunteer experience in Girl Scouting, to serve on the Property Committee;

• ratification of the Executive Committee's motion to approve Paula Baker, Chief Clinical Officer at Freeman Health Center in Joplin, Mo.; and Nancy Ayers, community volunteer in Cape Girardeau, Mo., former Girl Scout troop leader, and retired long-time staff member for the U.S. Department of Agriculture's Natural Resources Conservation Service; as nominees for director-at-large for the FY2011 slate of nominees.

The Board reviewed the status of the Strategic Learning process, received training on "Building Blocks for High Performing Boards" from Board member Susan Vaughn (Jefferson City, Mo.) and heard a legislative update from Board member Vicki Myers (Jefferson City). Board member Libby Mobley (Kennett, Mo.), Board Development Committee chair, thanked outgoing Board members Jean Bollinger (Cape Girardeau) and Valerie Richardson (Poplar Bluff) for their service.

Board Chair Tina Stillwell (Springfield, Mo.) reported on Girl Scouts of the USA's National Strategy Refresh and the results of the National Girl Scout Council Board Governance survey. Council CEO Jennifer M. Orban said girl membership is up over the same time a year ago. GSMH currently has 12,600 girl members and 4,300 adult members. Retail sales are up slightly, and online sales are up significantly.
The next Board meeting will take place June 17.

2011 Annual Meeting & Adult Recognitions Summary

The annual meeting of GSMH was held Saturday, March 26 at Lodge of the Four Seasons, Lake Ozark. Business was conducted from 11:00 pm to 1:00 pm with additional events before and after.

Silent auction bids on baskets and the traveling GS shop was open from 8:00 pm to 2:15 pm.

The chat with chief officers scheduled from 8:45 pm to 9:25 pm ran over with lively discussion and voting representative training followed.

During the business meeting, reports were given by CEO Jennifer Orban, Board President Tina Stillwell and Treasurer Michael Wolfe. The slate for Board Members and National Delegates was presented by Libby Mobley and adopted. Anne Soots and Ginger Schneider reported on Strategic Learning and Valerie Richardson presented proposed by-law changes which passed. The highlight of this year's meeting was the presentation of the Girl Scouts of the USA's Lifesaving Medal of Honor to Emily Van Deven. The business meeting was followed by lunch then the presentation of awards to volunteers.

The Juliette Community Partnership Award went to Ian Layton from the Perry County Recycling Center, the 1140th Engineer Battalion from Cape Girardeau, the Ashland Optimist Club, Detachment 1, 1137th Military Police Co. from Jackson and Rodney Crites, store manager for the Town and Country Supermarket in Marble Hill. Three long-term volunteers received Years of Service Pins - Susan Brayton and Colleen Ray for 50 years and Charlotte Green for 65 years. Appreciation Pins went to Belinda Halford, Cara Carter, Cynthia Fitzgibbons, Janet Gasper, Jeanne Jones, Joanna Billingsley, Michelle Sisson-White and Layne Washburn. Thanks II Badges went to Jean Bollinger and Valerie Richardson.

Events of the day were concluded with auction winners collecting their baskets.

Strategic Learning in Girl Scouts of the Missouri Heartland

Strategic Learning loop

Girl Scouts of the Missouri Heartland is currently engaged in a Strategic Learning process that will set the direction for the council for the next three years. Strategic Learning is a process that was developed by Willie Pietersen, Columbia University Business School, and adopted by Girl Scouts of the USA several years ago. The key to Strategic Learning is to help build adaptive organizations ready to meet the challenges facing them and prepared to achieve their mission.

The Council Strategy Team, comprised of operational volunteers, board members, community volunteers and council staff members began their work in September 2010. They did intensive research to discover the "brutal truths" facing Girl Scouts of the Missouri Heartland and began to develop the strategy that will help the council move forward in achieving the Girl Scout mission. The work of the team was approved by the council board of directors in January 2011.

This work was introduced to the council membership at the Annual Meeting on March 26. The PowerPoint, available here, includes all of the elements developed thus far and highlights the areas the council will focus on over the next three years. Volunteers had an opportunity to give input into the process at the Annual Meeting. And that opportunity is on-going. Gap Teams are working to develop strategies to "close the gaps" we have identified. They are eager to have more input from the volunteers. Property Update

Property Update

The council Property Committee met via conference call on February 23. Agenda items included the final wrap-up of the termination of the lease of Bachimtal Program Center, weather damage to a tree house at Mintahama Program Center, the timber sale at Finbrooke Program Center and a request from the Division of State Park regarding Camp Pin Oak. Based on a recommendation from the realtor, the committee voted to reduce the asking price for the Joplin service center. The committee continued to discuss the decision regarding the disposition of the Dexter and Cape Girardeau service centers. The council is working with the Stoddard County Commissioner to locate additional documents regarding the Community Development Block Grant funding used in the construction of the Dexter service center. Plans are for the committee to make a recommendation to the council board of directors regarding the Dexter and Cape Girardeau service centers by the end of the summer.

The committee is continuing to gather information needed to develop a property plan for GSMH. The committee scheduled meetings on the second Wednesday of each month to continue its work.
