NEW - Contract Drafting Workshop for Supply Management Professionals - May 24, 2012

  

This seminar applies the principles of contract law to the contract document. This course, taught by an experienced commercial and transactional attorney, will help you gain better knowledge of how we can use the agreement as a tool to monitor and manage supplier performance and to manage change control and contract compliance.    

  

This class is intended to be hands on than other contract development seminars, and it will include break-out sessions and class exercises in drafting and reviewing contract language Preliminary Drafting Considerations, Using Recitals and Definitions, Structuring Contract Provisions, Conditions, Options and Obligations, Avoiding Ambiguity and Litigation, Drafting Key Contract Terms, Using Form Agreements and Dealing with Boilerplate Terms, Using Contract Drafting and Assembly Systems.

Statement of Work - How to Develop an Effective Scope of Work

A good beginning makes for a good ending" as the saying goes.  Starting out with a scope of work (SOW) that clearly and completely articulates the respective responsibilities of the parties is critical to the success of any project or purchase.  This seminar covers the key considerations, both legal and practical, in how to craft SOWs that reflect the objective intent of the parties and will yield predictable results. 
 

Preparing a scope of work tailored to the uniqueness of the project and which is clear and complete is a key "founda-tion" for success.  The contract's scope of work represents your detailed articulation of the project goals and objectives.  The scope of work's stan-dards represents what you deem to be the project's measure of success.  "Front loading" the effort will avoid expensive problems and disputes down the road.

Risk Management for Supply Chain Professionals -

Risk management depends upon putting in place the necessary controls and provisions as part of the contract documents. This includes effective and sensible use of letters of credit ("LOCs"), payment and performance bonds, insurance provisions, periodic releases accompanying requests for payment, parental guarantees, retainage provisions, test and acceptance criteria, backcharge processes and protocols, how and when to assert warranty rights, claims evaluation and dispute resolution mechanisms. This seminar covers these topics and others to help supply chain management ("SCM") professionals avoid, manage and reduce risks in commercial transactions. 

 

This seminar will cover over 100 steps and actions which SCM professional can implement to avoid, reduce and manage risks in commercial transactions.  The seminar will also highlight risky behaviors to avoid such as excessive use of letters of intent ("LOIs"), memorandums of understanding ("MOUs"), hand shake deals and how to recognize and avoid commercial "red flags".
