The Key to Happiness

Every time I am in Florence, I wonder if those who live there ever stop seeing its beauty, passing by the Duomo or statue of David without thought or glance.
Sometimes we don’t appreciate what we have, but I have read that doing just that is the key to happiness.
The Association of Corporate Counsel has more than 45,000 members around the world. At its Annual Meeting in October, it recognized seven chapters for their achievements in four categories.
The St. Louis Chapter received the Best Partnership Award for our partnership with Washington University’s Olin School of Business on the program “Using Leadership & Decision-Making to Overcome Current Business & Legal Challenges” and the Innovative Programming Award for our “Artful Observation with a Diversity Lens” program at the St. Louis Art Museum.
The only other chapter that won two awards was Singapore. When I ask members why they don’t come to ACC events and non-members why they don’t join, I get a variety of responses. They get their CLE elsewhere. They don’t have time. They don’t know about it. Essentially, they don’t understand its value.

The Corporate Transparency Act (“CTA”) was enacted in 2021 in an effort to mitigate money-laundering though, up until now, it lacked an enforceable reporting element. The CTA will require most domestic and foreign legal entities - registered to do business in the United States - to disclose information regarding their “beneficial owners” as well as the persons who register or form the entity.
On January 1, 2024, the Beneficial Ownership Information Reporting Rule (“BOI Reporting Rule”) becomes effective. The BOI Reporting Rule requires reporting companies submit entity and ownership information to the U.S. Department of Treasury’s Financial Crimes Enforcement Network (“FINCEN”). Reporting companies formed or registered between January 1, 2024, and December 31, 2024, will have ninety (90) days from the date formation or registration to comply with the BOI Reporting Rule, while reporting companies formed or registered on or after January 1, 2025, will have thirty (30) days.1 Existing reporting companies will have thirty (30) days beginning on January 1, 2025.

Insights from a First-Time Attendee and Speaker
at the ACC Annual Meeting
| By: Jennifer Denny, Senior Litigation Counsel, Cardinal Financial | |
For those of you whom I have not had the chance to meet yet, my name is Jennifer Denny. I am Senior Litigation Counsel at Cardinal Financial (a mortgage lender). I joined ACC shortly after becoming an in-house attorney, and joined the Communications Committee to become more involved. A colleague on the Communications Committee asked if I would be interested in joining the Litigation Practice Area Network (“PAN”) leadership on the national level, which was another great way to be involved. Joining committees and volunteering time can really be as simple as that – most committees need additional input and volunteers to contribute time and expertise.
One of the unexpected outcomes of being on the Litigation PAN was getting a chance to attend and speak at the Annual Meeting this past October. All of the PANs get a chance to submit topics for the annual meeting and have a programming chair to head that effort. The Litigation PAN had been selected for several presentations, but had a speaker drop out of an ethics panel presentation on short notice. The Litigation PAN leadership asked for volunteers to fill the speaker role, and I raised my hand. The topic was one that I could study for and use the presentation materials that had already been prepared by the other members of the panel. Being a speaker meant I received free admission to the conference that I would not have otherwise been able to attend.
