What is an Registered Agent?
By: Amanda Moore

A requirement of a Limited Liability Company is that a Registered Agent must be selected in order to accept important documents on behalf of your company. Such documents that may be received can include; notices from the State regarding your business and Service of Process, also known as Notice of Litigation, which are documents that initiate a lawsuit of some sort, and much more.

Generally, you must have a physical address (not a P.O. Box) to be available to accept correspondence during normal business hours (i.e.: Monday through Friday from 8:00 a.m. - 5:00 p.m.). Additional requirements, and requirements of others states, may vary so be sure to check with your Secretary of State's office for specifics.

As a professional driver who is consistently over the road, you likely would not meet the requirements to serve as your own Registered Agent. With this in mind, it would be most beneficial for you to enlist a third-party representative to serve as your Registered Agent. Having a Registered Agent provides drivers with a level of comfort as you do not have to stress about receiving these documents; documents that when missed could cause severe consequences. A Registered Agent will help ensure that any documents will be received in a timely manner and will then work with you, as the business owner, to ensure you have also received a copy of the information received.

It is also important to note that in order for a third-party representative to serve as your Registered Agent, you must keep them updated with your current contact information (phone number, address, email, etc.). This means, that should any of your contact information change for any reason, it is your responsibility to communicate this to your Registered Agent in a timely fashion. Failure to update your contact information could lead to negative implications, such as the third-party removing themselves as your Registered Agent.

Abacus CPAs is the acting Registered Agent for many of our transportation clients. If you would like more information about how our Registered Agency program works, please contact our office at (417) 380-5000.

If you've filed an amended return and want to check on its status...look at the IRS website. The agency has a tool to make it easier for filers to find out about the status of amended individual returns filed on Form 1040-X. Go to www.irs.gov/filing/wheres-my-amended-return to access the system. You'll need to enter your Social Security number, date of birth and ZIP code.
