A Small Business Victory! NFIB Lawsuit Ruling Blocks Beneficial Ownership Reporting Requirements

What It Means: A federal court issued a preliminary injunction that blocks the U.S. Department of Treasury from enforcing a law that requires more than 32 million small businesses to submit the personally identifiable information of each beneficial owner to the U.S. Department of Treasury's Financial Crimes Enforcement Network (FinCEN) by the end of December. The court's issuance of a preliminary injunction blocks the U.S. Department of Treasury from enforcing the beneficial ownership information (BOI) reporting requirements.

Our Take: "The BOI reporting requirements are a harmful invasion of small business owners' privacy and a misuse of their valuable time. Thankfully, the Court agreed and granted a preliminary injunction, giving small business owners a reprieve from this burdensome rule," said Beth Milito, Executive Director of NFIB's Small Business Legal Center.

A preliminary injunction is now in effect stopping the enforcement of the beneficial ownership reporting requirement. The Corporate Transparency Act (CTA) mandated small businesses hand over the private information of each beneficial owner and noncompliance would have resulted in steep fines and even jail time.

That's A Wrap: City & State's Legislative Session Review

Justin Sweitzer, City & State PA

November 29, 2024

The 2023-24 legislative session has come to an end, setting the stage for a new term to begin in earnest next January. But before we set our sights on all that could happen - or not happen - in the upcoming two-year session, it's worth take a look at what lawmakers and Gov. Josh Shapiro's administration got done over the last two years, and what outstanding issues will have to be addressed by the next General Assembly. The 2024-25 state budget brought major changes to the state's net operating loss policies, including new language that will allow businesses to carry forward more of their losses and deduct them from profits into future taxable years. Prior to the passage of this year's budget, Pennsylvania was one of two states - the other being New Hampshire - that capped deductions below the federal limit of 80% of taxable income. Thanks to this year's state budget, Pennsylvania will gradually increase its limit on net operating loss carryovers from the current limit of 40% - by 10% each year - until the limit is expanded to 80%. Over the summer, state Senate Majority Leader Joe Pittman had ample praise for the NOL carry-forward limit changes long sought by Republicans and the state's business community, including the Pennsylvania Chamber of Business and Industry.

Did you know........

Small businesses represent the largest segment by number of most local chamber membership rolls. Results in the research study by The Shapiro Group, Inc. and Market Street indicate the impact of local chamber membership on small businesses is very powerful. If a consumer knows a small business is a member of its local chamber, the business enjoys a 44 percent increase in its consumer favorability rating, a 51 percent increase in consumer awareness, a 57 percent increase in its local reputation and a 63 percent increase in the likelihood that consumers will patronize the business in the future.

Research indicates that chamber membership stimulates business-to-business commerce in the local community. Other businesses in town are more likely to do business with you and your company if you are a member of the local chamber. Because a major part of a small business typically comes from business-to-business services, it is essential to maintain a positive standing within the local business community.
