Beneficial Ownership Victory as Fight for Permanent Relief Continues

NFIB

March 5, 2025

U.S. Treasury Depart. Announcement Means No Penalties for Small Businesses

What it means: Following extensive efforts by NFIB, small businesses scored a major victory when the U.S. Treasury Department announced that more than 32 million small businesses owners are no longer subject to penalties for failing to comply with Beneficial Ownership Information (BOI) reporting rules. While this action by the Trump Administration is welcomed, small businesses should continue to urge Congress to make this win permanent by repealing the Corporate Transparency Act (CTA).

Our take: "NFIB greatly appreciates President Trump's strong support in this important effort to protect America's small business owners from what he correctly labeled an 'outrageous and invasive' Beneficial Ownership Information (BOI) reporting requirement," said Adam Temple, NFIB Senior Vice President for Advocacy.

Corporate Transparency Act on Hold Once Again

Stacy Wescoe, Central Penn Business Journal

March 4, 2025

The Corporate Transparency Act, which has been on again and off again for months i now off again. Just days after reinstating the Corporate Transparency Act's beneficial ownership information (BOI) reporting deadline to March 21, FinCEN announced it will issue an interim final rule by the same March date that further extends BOI reporting deadlines, citing the need to provide new guidance and clarity. With this decision, fines and penalties for noncompliance in filing a report will not be issued. A forthcoming interim final rule will be issued no later than March 21, 2025. FinCEN has committed to providing its interim final rule by that date. FinCEN said that it also intends to solicit public comment on potential revisions to existing BOI reporting requirements and it will consider those comments as part of a notice of proposed rulemaking anticipated to be issued later this year to minimize the burden on small businesses. However, FinCEN said that it will continue to prioritize Corporate Transparency Act reporting of BOI for those entities that pose the most significant law enforcement and national security risks.

Did you know........

Small businesses represent the largest segment by number of most local chamber membership rolls. Results in the research study by The Shapiro Group, Inc. and Market Street indicate the impact of local chamber membership on small businesses is very powerful. If a consumer knows a small business is a member of its local chamber, the business enjoys a 44 percent increase in its consumer favorability rating, a 51 percent increase in consumer awareness, a 57 percent increase in its local reputation and a 63 percent increase in the likelihood that consumers will patronize the business in the future.

Research indicates that chamber membership stimulates business-to-business commerce in the local community. Other businesses in town are more likely to do business with you and your company if you are a member of the local chamber. Because a major part of a small business typically comes from business-to-business services, it is essential to maintain a positive standing within the local business community.
