Corporate Transparency Act Returns

With Major Limitations

After a roller coaster ride of changing decisions. There's an update on the Corporate Transparency Act. Allentown law firm, Fitzpatrick Lentz and Bubba is reporting that the Financial Crimes Enforcement Network (FinCEN) has decided that only foreign companies registered to do business in the U.S. must file a BOI report unless they qualify for an exemption. That means domestic companies are now exempt from all CTA reporting requirements. FLB called FinCEN's decision an interim final rule, and note that it significantly reduces the burdens imposed by the original CTA reporting requirements on U.S. businesses. There are exceptions for foreign companies under the rule. For example, foreign businesses are exempt from reporting beneficial ownership information for any U.S. persons who are beneficial owners. Likewise, U.S. persons are exempt from providing their beneficial ownership information to foreign companies. FLB said that any foreign company is registered to do business in the U.S. that does not qualify for an exemption must file within 30 days after the publication of FinCEN's March 21 Rule in the Federal Register or 30 days after the company's registration to do business in the United States, whichever comes later. FLB noted that FinCEN has announced it will not be enforcing penalties for noncompliance.

PATHS is a statewide service providing employers and employees access to cost-effective health and safety resources. Services provided by PATHS will enable participants in the workers'compensation system to create safer, incident-free workplaces.
