In this three-part series, legal experts and journalists from Bloomberg Law will offer valuable guidance for attorneys who serve on corporate boards or advise companies. About the Program

The Delaware Chancery Court’s decision in Palkon v. Maffei, commonly referred to as the "TripAdvisor Case," has set a significant precedent, allowing companies to reincorporate in other states. This ruling provides a clear blueprint for companies considering relocation from Delaware. The webinar will discuss the key elements of the case, examining related shareholder litigation and the application of the entire fairness standard. It will provide insights for attorneys advising on corporate governance and mergers, helping them understand the latest legal developments, compliance requirements, and best practices in light of this decision.
