| | The S&P 500 closed last Thursday in correction territory, shedding 10% from its most recent February 19 high. Despite clawing back some of its losses last Friday, the benchmark finished last week 2.3% lower in its fourth straight week in the red. The Nasdaq Composite and Dow Jones Industrial Average similarly fell 2.4% and 3.1% over the week, respectively, while the Russell 2000 Index declined 1.5% and closed Friday at 16% off its November 2024 high. The Chicago Board Options Exchange Volatility Index closed last Monday at its highest level since August 5 last year and has finished above 20 for 10 consecutive trading days, the longest streak since March 2023. In U.S. economic news, the consumer price index (CPI) rose 0.2% in February and 2.8% over the year, below expectations at 0.3% and 2.9% respectively. Excluding food and energy, core CPI rose 0.2% in February and 3.1% over the year. Wholesale inflation per the producer price index (PPI) was flat in February and fell from 3.7% year-over-year (YoY) to 3.2%. This year, the Federal Home Loan Bank of Pittsburgh (FHLBank) will make approximately $74.5 million available in affordable housing funding resources.
The Affordable Housing Program (AHP) will open on June 26, 2025, with an amount available of approximately $57.5 million. AHP provides competitive grants for the development of affordable housing for low- to moderate-income households. Applications for funding individual projects, up to $1,500,000, can be submitted through AHP Online. Applications are due at 5 p.m. on Aug. 7, 2025.

Delaware General Corporation Law: Proposed Amendments to Sections 144 and 220

On February 17, 2025, Delaware legislators introduced proposed Senate Bill 21, providing for amendments to Sections 144 and 220 of the Delaware General Corporation Law (DGCL).
The proposed amendments to Section 144 of the DGCL would provide safe harbor procedures for transactions in which directors, officers, or a controlling stockholder (or a controlling stockholder group) have potential conflicts of interest that, under present law, may cause a transaction to be subject to judicial review under the entire fairness standard.
