Geopolitical concerns, Fedspeak, and a rise in long-term bond yields weighed on major U.S. Equity indexes last week. The S&P 500 fell 2.4% for its fifth negative week out of the past seven. The Nasdaq Composite dropped 3.2%, and the Dow Jones Industrial Average declined 1.6% on the week. The 10-year U.S. Treasury yield settled around 4.91% by last Friday, down from 4.99% on Thursday. At close to 5.0%, 10-year Treasury yields are at their highest point since 2007. The yields on both the 2-year and 30-year ended last week around 5.07%. In another display of consumer resilience, September retail sales rose 0.7% over the month versus an expected 0.3%, which follows a revised 0.8% in August. Despite the average rate on a 30-year fixed mortgage topping 8% (according to Bankrate), housing starts rose 7.0% to a seasonally adjusted annual rate of 1.358 million, a bump up following August’s sharp decline of 12.5%. | |

Corporate Governance Standards Proposed by FDIC | |
On October 3, 2023, the Federal Deposit Insurance Corporation proposed standards for corporate governance and risk management for the institutions it regulates that have $10 billion or more in total assets (“Proposed Standards”). The Proposed Standards would establish extensive and rigid requirements for a wide range of state-chartered banks. Further, they would reverse decades of reliance on state law for establishing governance and oversight obligations. The FDIC board approved issuing the Proposed Standards by a 3-2 vote with Vice Chairman Travis Hill and Director Jonathan McKernan issuing dissents sharply critical of the proposals.
The Proposed Standards lean toward a rules-based approach to corporate governance, in contrast to the principles-based approach that is prevalent under state law. Critics will observe that the Proposed Standards are presented as “good corporate governance” without appreciating that what is “good” for one bank may not be “good” for another and that achieving “good corporate governance” results not from uniform regulatory mandates but from default rules that can be tailored and fiduciary duties that can be fit.

Morris James proudly announces that the Delaware Chapter of the National Alliance on Mental Illness recognized Ed McNally for longstanding, devoted service at its recent Inspiring Hope conference. Each year, NAMI Delaware awards a volunteer whose contributions are extraordinary. This year, Ed was acknowledged for his decades of Board service.
