In a significant legal development, Judge Amos L. Mazzant of the U.S. District Court for the Eastern District of Texas has issued a preliminary injunction against the enforcement of the Corporate Transparency Act (CTA) and its implementing regulations, specifically 31 U.S.C. §5336 and 31 C.F.R. 1010.380.
This ruling effectively prevents the Financial Crimes Enforcement Network (FinCEN) from enforcing the CTA and its Reporting Rule.
The injunction also stays the compliance deadline for reporting companies to file Beneficial Ownership Information (BOI) reports, which was initially set for January 1, 2025. The court found that the CTA likely exceeds Congress's constitutional authority and that its enforcement would cause irreparable harm to the plaintiffs.
As a result of this ruling, FinCEN is currently barred from requiring reporting companies to comply with the CTA's BOI reporting requirements pending further order of the court. This decision marks a critical pause in the implementation of the CTA, which has been a subject of considerable debate and scrutiny.
This is a developing story, and Bee, Bergvall & Co. will share all important updates.
