An interesting opinion piece by Hilbert Haar that could be of consequence for the Brenda Brooks case. Read today's article titled "
Desperate Measures".
In the meantime, another argument has been brought to our attention: Brooks’ role as a supervisory director of NAGICO. Solving personnel issues is, under corporate governance rules, the task of the company’s management, not that of any member of the supervisory board.
We have used this platform in the past to highlight the role of members of supervisory boards with the contention that board members do not fully understand their supervisory roles. Here we now have on record a member of a supervisory board of a major insurance company, if not the biggest on St. Maarten, overstepping the boundaries of their supervisory role and actively participating - though apparently not interfering - in the day-to-day management of the company. In this case, in the personnel affairs of the company.
As a supervisory boardmember, her involvement in the day-to-day operations by trying to fix labor and immigration issues is of course not a crime but, specifically, a violation of corporate governance: management is done by management and supervised by the supervisory board. This aspect of course does not play a role in the criminal case, but when looking at the recently published articles regarding corporate governance, one may hope lawyers lead by example.
