FinCEN Extends Beneficial Ownership Information Reporting Deadline to March 21, 2025 | | |

As we have previously communicated, there has been a flurry of judicial activity regarding the enforceability of the Corporate Transparency Act (CTA) in the last several months. | |

The most recent preliminary injunction granted in Smith v. U.S. Department of the Treasury temporarily blocked enforcement of the CTA, until the February 17, 2025, decision by the district court in Smith lifted the preliminary injunction.
Pursuant to a publication by FinCEN (see here), most entities will be required to comply with a new deadline for Beneficial Ownership Information reports by March 21, 2025 (absent those entities that already had a later reporting deadline, such as the disaster relief deadline).
Additionally, any entities that were formed after January 1, 2025, are required to comply with the 30-day rule for filing the Beneficial Ownership Information report. For example, if an entity is formed on March 1, 2025, it has until March 31, 2025 (rather than March 21, 2025) to file its report. At this time, we encourage any reporting company that has not yet filed its Beneficial Ownership Information report to do so prior to March 21, 2025.
