Message to Our Membership
|
|
Dear Neighbors,
Necessity is the mother of invention. We've all been reinventing our lives during this time of pandemic. The same is true for your Board of Directors, who have been hard at work implementing a plan to use the tools of modern technology to conduct our Annual Membership Meeting on
May 21, 2020 at 8:00 pm
while still keeping our members safe and observing both social distancing and the state's "stay at home" orders.
There will a number of votes on the agenda, including timely and interesting reports, and our annual vote for next year's Vice President (who will automatically become President the following year), Treasurer, Secretary and three Directors-at-Large. We'll also hear from Scarsdale's own
Assemblymember Amy Paulin
on what has been an unprecedented and unforgettable legislative session in the midst of a pandemic in Albany and across the state.
Here's what you'll need to do in order to be ready for our meeting on May 21.
1.)
Download, fill out, and send in a proxy voting form
. The Forum by-laws have been amended to p
ermit membership voting to be done by proxy, not just for determining a quorum. (See a full explanation below.) We highly encourage you to fill it in and email it to
secretary@scarsdaleforum.com
whether or not
you intend to participate in the meeting by Zoom or conference call. You can always modify or supplement your proxy submissions, including orally during the meeting.
2.) If you wish to participate by Zoom,
RSVP online to receive the password
. As always, the meeting is free and open to the public, but we're taking this extra step of security as a precaution against disruption.
Finally, please remember to check that you are current with your dues so that you are eligible to vote and fully participate in the meeting.
Stay safe and be well,
Tim Foley

FORUM ANNUAL MEMBERSHIP MEETING TO BE HELD VIA ZOOM UNDER AMENDED BY-LAWS
|
|
Prompted by the current COVID-19 public health emergency, the Forum’s Annual Membership Meeting, scheduled for May 21, 2020 at 8:00 pm, will be held electronically using the Zoom video/teleconferencing platform. The Forum’s Board of Directors adopted temporary amendments to the Forum By-Laws on April 23, 2020 that permit this approach. The meeting will be chaired by the President of the Forum from a home office. We encourage all members to participate in the Annual Membership Meeting via Zoom on May 21st
.
The amended By-Laws also permit membership voting to be done by proxy, not just for determining a quorum. To do so,
complete and return your proxies by e-mail or by regular mail, using the instructions set forth in the proxy forms
sent with the meeting notice. We urge every member to complete and return proxies, whether or not you expect to participate in the meeting via Zoom. Members who submit completed proxy forms and
also participate in the meeting via Zoom can modify or supplement their proxy submissions, including orally during the meeting.
To facilitate processing, it will be requested that proxies be returned by May 14, 2020
. Return instructions are set forth in the proxy form. Proxies received after May 14
th
will still be accepted, but returning them by that date will be helpful.
The amended By-Laws are posted on the Forum website and are available at
www.scarsdaleforum.org/bylaws
. The new provisions consist of a revision of the second sentence of Section 2.5 together with new Sections 2.6, 3.12 and 8.4. The new provisions are temporary, and, unless otherwise modified or amended earlier, will expire on June 30, 2022, thereby reinstating the prior By-Laws provisions.
