If you are a landlord or a tenant, one of the most important clauses in a commercial lease is the section that addresses repair and maintenance obligations. Often a commercial lease will allocate responsibility for specific repairs. Another distinction to note is the difference between “repairs” and “maintenance.” 



If you are contemplating selling your business and you or your company received a Paycheck Protection Program (PPP) loan, you should be aware of the new Small Business Administration changes in ownership procedures. In addition, be sure to take a prudent approach when selling your business with a PPP loan.

There's been a trend of Delaware courts to more aggressively assert personal jurisdiction over out-of-state directors and officers, even when there are no claims for breach of fiduciary duty. Now, Georgia courts are following suit.
Directors and officers of Georgia companies who live in other states can now be sued in their personal capacities in Georgia in connection with their conduct as corporate officers and board of directors.




The pandemic has inevitably led to job loss as some employers have been forced to furlough employees or reduce staff. Although involuntarily terminated employees are not typically leaving to directly take a position with a competitor, there is still a threat that, in the future, a departing employee can use or disclose company trade secrets to a competitor.
