Pennsylvania's Decennial Report Filing Requirement
Certain Businesses and Non-Profit Organizations Must File a Decennial Report
With the Bureau of Corporations and Charitable Organizations in 2021 or they
Risk Losing the Exclusive Rights to Their Name or Mark.

As we previously advised you, the Pennsylvania Department of State requires a Decennial Report to be filed every 10 years for years ending with the numeral “1” (2011, 2021, 2031). The Decennial Report documents an entity’s continued existence or the continued use of certain marks in Pennsylvania. Postcards were mailed on January 15, 2021 by the Department to the registered address of each of the affected entities.
 
All (for and non-profit) entities doing business in Pennsylvania that have not made a new or amended filing with the Bureau of Corporations and Charitable Organizations from January 1, 2012 through December 31, 2020, must file a report by December 31, 2021.

An entity that fails to file the required Decennial Report during the calendar year 2021 will lose the exclusive right to its name beginning on January 1, 2022. Even though the non-filing entity may still exist, its name will become available for use by another business registered in Pennsylvania.
