IoD Ireland Members' Update

Dear Anne,


I was delighted to meet so many members recently at the IoD Ireland Summer Reception at the beautiful Airfield Estate. As the new Chief Executive of IoD Ireland, it was an ideal opportunity to hear first-hand our members’ feedback and views on a range of issues and services in a social context. Such events are also invaluable networking opportunities, and I would encourage participation and attendance at our Autumn Lunch on Friday, 23rd September, featuring guest speaker, David McRedmond, Chief Executive Officer, An Post. The pandemic has had a significant impact on so many people and businesses, and notably so in the case of An Post, so it is sure to be a fascinating and engaging occasion for members in both executive and non-executive positions. (See panel below on how to book.)


One of the topics that arose a number of times during my conversations with members at Airfield Estate was ESG. Indeed, in our Director Sentiment Monitor survey of members, published in January 2022, 83% of members who completed the survey believe there is an onus on business organisations to ‘lead from the front’ with regard to implementing more ambitious environmentally friendly practices and Net Zero targets. The fact that the IoD’s ESG course beginning in September, ‘Leading Sustainability: What Directors Need to Know and How to Do It’, is now booked out (we are now operating a cancellation list) further confirms the high level of interest in this area and the IoD will be offering more training, information and content offerings to members over the coming months. Furthermore, I should add that IoD Ireland is a founding body of Chapter Zero Ireland. Chapter Zero Ireland’s purpose is to build a community of non-executive directors and equip them to lead crucial boardroom discussions in Ireland on the impacts of climate change.


I look forward to meeting many more members over the coming months. In the meantime, enjoy the rest of the summer.

Wide Ranging Changes to Whistle-blowing Laws


Our latest Director Factsheet, from McCann FitzGerald LLP, looks at The Protected Disclosures (Amendment) Act 2022, which was signed into law on 21 July 2022 and is expected to be commenced shortly. The Act, which transposes an EU Directive on whistle-blowing into Irish law, will further strengthen the protection of whistle-blowers under the Protected Disclosures Act 2014, and impose significant additional new obligations on employers and others who receive protected disclosures.

Dr John Canacott, CEO, Wonder, Independent Non-Executive Director, and Board Advisory Member


Dr John Canacott is CEO of Wonder, a consultancy that works with a number of clients on strategy, sales and marketing, and business development across healthcare, digital and other sectors. John has been CEO of Wonder for almost 10 years, and he has extensive board experience He also acts as an Independent Non-Executive Director (INED) and Board Advisory member to several organisations.


John is a serial entrepreneur having developed a number of successful companies. He holds a Doctorate in Marketing and an MBA from Durham University, where he is a member of the Adjunct Faculty. He joined the IoD in 2011.

The Minister for Public Expenditure and Reform, Michael McGrath TD, has announced the appointment of Barbara Cotter as the Chairperson of the Top Level Appointments Committee (TLAC).


Annette Flynn CDir has been appointed as a Non-Executive Director to the board of The Irish Times DAC (Designated Activity Company).


Claudia Carr has been appointed Partner at BearingPoint, the independent management and technology consultancy, and she will be leading its People and Strategy Practice.


Deirdre Collier and Tom Enright have been appointed to the Board of the Housing Finance Agency until May 2027.

The Corporate Enforcement Authority

A new watchdog to crack down on corporate wrongdoing has been established. The Corporate Enforcement Authority (CEA) is a new statutory independent agency with the staff and resources to investigate and prosecute breaches of company law. The Act invests the CEA with the same functions and powers that the Director of Corporate Enforcement has with some modifications to reflect the new commission structure. These include encouraging compliance with the Companies Act 2014, investigations of suspected offences and non-compliance under that Act, prosecution of summary offences, referring indictable offences to the Director of Public Prosecutions and the exercise of certain supervisory functions with respect to liquidators and receivers.


The Circular Economy and Miscellaneous Provisions Act 2022

Amongst its range of provisions, the Circular Economy and Miscellaneous Provisions Act 2022 incentivises the use of reusable and recyclable alternatives to a range of wasteful single-use disposable packaging and other items. It also introduces a mandatory segregation and incentivised charging regime for commercial waste, similar to what exists for the household market. This will increase waste separation and support increased re-cycling rates.


Charities Regulator Annual Report 2021

The Charities Regulator has urged all charities across Ireland to comply with their legal requirements in order to boost overall public confidence in the sector. This follows the publication of its Annual Report 2021.
