IoD Ireland Members' Update

Dear Anne,


I am delighted to note that today marks the 30th Anniversary since the incorporation of the Institute of Directors (IoD) in Ireland on 11th January 1993. I would like to acknowledge and thank all our current and past Presidents, Council members, and staff for their dedication and commitment to getting us to this important milestone. I would also like to acknowledge you, and all our members for your support. 


With that in mind, I would like to advise that Thora Mackey CDir, Chief Operating Officer, will be stepping down at the end of January 2023. I would like to thank Thora for her dedication to the IoD over the last 15 years, and all she has done. 


Marking our 30th Anniversary is just the beginning for the IoD, as will also be implementing a new strategy that will lead us into the future with the vision to make Ireland an exemplar of corporate governance. Our purpose will be to instil stakeholder trust and confidence in organisations by educating, informing, and supporting directors and business leaders to lead successfully. 


I look forward to marking our anniversary with you throughout the year and look forward to hearing your stories about IoD Ireland over the last 30 years. 


I am also delighted to note we have published the latest list of recently qualified Chartered Directors (see below). Congratulations to you all.

IoD Ireland Announces Chief Operating Officer

Thora Mackey CDir To Step Down

IoD Ireland has announced that Thora Mackey CDir, Chief Operating Officer, will be stepping down at the end of January 2023. During her time with the organisation Thora has been key to its significant growth. Thora has made an invaluable contribution to the development and growth of the IoD and all at IoD Ireland wish her well in her next endeavours.


Thora joined the IoD in June 2008 and also holds the roles of Head of the IoD’s Boardroom Centre and Company Secretary. She became a Chartered Director in 2020 and has held several directorships including on the boards of housing charity, Threshold, and more recently, Chapter Zero Ireland. 


President of IoD Ireland, Imelda Reynolds CDir, commented: “We wish Thora every happiness and success in her new endeavours and thank her for her significant contribution to the IoD. She is held in very high esteem by the many members, Council and colleagues who have known her over the past 14 and a half years.” 


Chief Executive Officer of IoD Ireland Caroline Spillane CDir, noted: “Thora has made an invaluable contribution to the development and growth of IoD Ireland over the last 15 years. I would like to wish her all the best in her future endeavours.”


Commenting on the announcement Thora Mackey CDir said: “It has been a great privilege and pleasure to work for the Institute over the years and to get to know so many exceptional people. I wish the Council and Caroline and her team every success as the IoD continues to go from strength to strength. Thank you all for your support during the past years.”

Today marks the 30th Anniversary of the day IoD Ireland was incorporated. Throughout 2023, we will mark our Anniversary in a number of different ways, from a special event, to highlighting individual members (such as Stephen and Cliodhna below), to key moments from the past, and more.


We would love to hear from our members and stakeholders as well on their experiences over the last 30 years. Please share any past stories you may have with the IoD Ireland Communications Team. For now, watch a video of some our highlights from the last number of years below.

Cliodhna McGuirk CDir is the Founder and CEO of Saadian. Founded in 2000, Saadian provides critical software and digital services that help keep people safe; supports people in improving their lives; and helps hundreds of organisations function effectively. Its primary focus is on law enforcement where the company provides a prison intelligence product to almost every police force in the UK and a number of sheriffs in California, USA.


Cliodhna qualified as a Chartered Director in 2009 after completing the first cohort of the IoD’s Chartered Director Programme.

Meet a Member | An IoD Ireland Member Since 1993


Stephen Cloonan, Non-Executive Director at The Conti Group, Shaws Department Stores, Anthony Nicholas Group, The Donnelly Group, and Dortek


Stephen has over 25 years’ experience as a Non-Executive Director and Chair. He is currently a Non-Executive Director (NED) at The Conti Group, Shaws Department Stores, Anthony Nicholas Group, The Donnelly Group, and Dortek. Stephen qualified as a Chartered Accountant with Price Waterhouse (now PwC) in 1981 and, a few years later, did a management buy-out of a small retail business called Harry Moore. He ran and grew that for 14 years before selling it to Dixons Stores Group in 1997. Stephen has worked as a NED/Chair, and occasionally an investor, since. 


Stephen has been a member of IoD Ireland since 1993.

Thank you to all our members and friends who donated to our Christmas appeal for the Society of St. Vincent de Paul (SVP) for 2023, which raised €7,820. All donations were processed directly via the SVP website.

COVID-19: Extension of Interim Changes to Company Law


Our latest Director Factsheet, from McCann FitzGerald LLP, is a briefing that addresses the further extension of the interim period – to 31st December 2023 – for two of the measures introduced under the Companies (Miscellaneous Provisions) (Covid-19) Act 2020.


The measures extended to 31st December 2023 are the ability of general and creditor meetings to be held virtually and the increase in the amount at which a statutory demand can be issued to €50,000 (such a demand is evidence that a company is unable to pay its debts such as to allow a court to wind up the company).

Wide Ranging Changes to Whistle-blowing Laws


This Director Factsheet looks at the Protected Disclosures (Amendment) Act 2022, which was was signed into law on 21st July 2022 and commenced on 1st January 2023. The Act, which transposes an EU Directive on whistle-blowing into Irish law, will further strengthen the protection of whistle-blowers under the Protected Disclosures Act 2014, and impose significant additional new obligations on employers and others who receive protected disclosures.

IoD Oireachtas Appearance | The State of ESG Strategy in Irish Boardrooms


IoD Ireland representatives were invited to appear before the  Oireachtas Joint Committee on Enterprise, Trade and Employment for a discussion on the Corporate Sustainability and Due Diligence Directive (CSDDD), on Wednesday, 7th December 2022. The IoD representatives included: Caroline Spillane CDir, Chief Executive Officer, IoD Ireland; Karen Hennessy CDir, IoD Ireland Member, and Chief Executive, Real Leaf Farm; and Anne Mannion, Head of Marketing and Communications, IoD Ireland.


During the session, Ms Spillane and the IoD representatives shared the findings of the IoD's research report titled, 'The State of ESG Strategy in Irish Boardrooms', conducted in partnership with the Diligent Institute, as well as other key findings/commentary in regard to the CSDDD. One of the key IoD asks was for the Government and Department to provide further information and detail to directors and business leaders around upcoming pieces of ESG legislation to ensure effective compliance.

Save the Date | Government Webinar on New Rules for EU Non-Financial Reporting

The EU has published the Corporate Sustainability Reporting Directive (CSRD) and the mandatory reporting standards on environmental, social and governance matters which many Irish based companies will have to meet from 1st January 2024. To explain the new Directive and standards in more detail Department of Enterprise, Trade and Employment are holding a webinar on this key issue on Thursday, 26th January 2022 (10am-12pm). A public consultation will also be launched seeking views to inform Ireland’s transposition of the discretionary options of the transposition of the Directive into national law. Exchequer Surplus of €5 billion in 2022; Corporation Tax Surpasses VAT

The Department of Finance and the Department of Public Expenditure and Reform have noted that 'an Exchequer surplus of €5 billion was recorded last year, a €12.4 billion swing from the €7.4 billion deficit recorded in 2021. The improvement reflects both the strong growth in tax revenue and the decline in COVID-related public expenditure. Corporation tax receipts ended 2022 at €22.6 billion, ahead of the previous year by €7.3 billion (48 per cent). This means that, for the first time ever, corporation tax receipts were the State’s second-largest income stream last year'. 


National Risk Assessment 2023 – Public Consultation

The National Risk Assessment aims to provide a systematic overview of strategic risks facing the country to serve as the basis for political and public discussion and deliberation about their implications. Stakeholders are asked to assess whether the draft risks identified accurately represent the major risks facing the country, whether there are any significant risks that should be added, or whether any of the proposed risks do not warrant inclusion. Proposed risk categories include: geopolitical risks, economic risks, societal risks, environmental risks, and technological risks. Consultation inputs can be submitted to [email protected]. The public consultation will be open until Friday the 17th of February 2023.


Labour Market Pulse

IDA Ireland, in partnership with Microsoft and LinkedIn, has published its latest Labour Market Pulse, which provides an overview of the current insights and trends across the Irish labour market to help inform decision makers across business, academia and public policy. This edition of the Labour Market Pulse takes a closer look at the skills needed to support the transition to the green economy. This is particularly relevant off the back of the recent COP27 conference, where attendees called for more ambitious climate targets and stronger commitments to tackling climate change. This Labour Market Pulse shows the rising importance of green skills among today’s workforces.


Changes to the Employment Permits System

The Government has announced changes to the employment permits system for workers from outside the European Economic Area (EEA) to address skills shortages in Ireland’s Dairy, Transport and Home Care sectors. The changes, which came into effect from 16th December 2022, follow 'constructive engagement' between the Department of Enterprise, Trade and Employment; the Department of Agriculture, Food and the Marine; the Department of Transport and the Department of Health in recent months, and a review of the workforce challenges in these sectors.

Board Appointments

The Commissioners of Irish Lights (Irish Lights) is seeking Expressions of Interest for appointments to its Board. The mission of Irish Lights is Safe Navigation at Sea. It is a maritime organisation delivering essential 24/7 safety and navigation services, 365 days a year. Irish Lights is looking for experienced individuals to join its Board, to support the ongoing development of the organisation. Two appointments will be made in the first quarter of 2023, with a further two appointments later in 2023. Applicants should have Board/Senior Management experience and a specific capability in one or more specific areas.
