I hope this finds you well.
I would like to offer my congratulations to John Reynolds CDir, who was elected President of IoD Ireland at our AGM yesterday evening. I look forward to working with John to pursue our vision in making Ireland an exemplar of corporate governance, while continuing to support our members in their leadership journey. Additionally, I extend a warm welcome to our new Council members, Dr Terry McWade CDir, Martin Shanahan, and Fiona Tierney CDir.
My thanks also to former President, Imelda Reynolds CDir for all her support and leadership over her tenure as President. Both the IoD Council and Executive greatly benefited from her expertise and insight as President, and we are thankful for her dedication and commitment to IoD Ireland over the last two years.
Last week, we were delighted to host an event on the Individual Accountability Framework (IAF) with guest speaker Gerry Cross, Director of Financial Regulation - Policy and Risk, Central Bank of Ireland (CBI). The event provided members with the opportunity to directly engage with the CBI on this issue. Thank you to all of you who have responded and participated in the IoD submission for the IAF consultation. This insight is essential to allow us to provide real insight and depth and be the representative voice of directors in Ireland.
Please note, the Financial Reporting Council (FRC) has launched a public consultation on their proposed changes to the UK Corporate Governance Code. IoD Ireland will be supporting members on this key issue, for example, our dedicated Director Factsheet on the consultation, as well as reviewing and analysing the consultation.
This ezine's issue also includes the latest events, director education programmes, exclusive content and benefits available to members, all outlined below.
I would like to take this opportunity as well to extend my sympathy, on behalf of IoD Ireland, on the recent passing of member Kathryn Heslin. Our condolences to her extended family and friends. Ar dheis Dé go raibh a anam.

New President and Board Members Appointed
IoD Ireland are delighted to announce the appointment of a new President and three new board members. At the Annual General Meeting (AGM) on Tuesday, 6th June, John Reynolds CDir was announced as the incoming President of IoD Ireland.
The new board members elected at the AGM were Dr Terry McWade CDir, Martin Shanahan, and Fiona Tierney CDir.

Individual Accountability Framework: What Directors Need to Know Event
IoD Ireland hosted an event with guest speaker Gerry Cross, Director of Financial Regulation - Policy and Risk, Central Bank of Ireland on Thursday, 1st June. This event provided IoD members with the opportunity to hear directly from the Central Bank of Ireland on the Individual Accountability Framework (IAF), as well as providing members with the opportunity to seek clarification and ask questions.

Latest Qualified Chartered Directors Announced
We are delighted to publish the latest list of recently qualified Chartered Directors. As part of this qualification, newly qualified Chartered Directors may also use the designation CDir after their name.
The Chartered Director Programme is a unique qualification for directors and strategic business leaders combining learning and professional experience. This sought-after programme has been running in Ireland since September 2008 and is delivered exclusively by IoD Ireland.

Public Consultation Launched on Proposals to Enhance the Companies Act 2014
Minister of State for Trade Promotion, Digital and Company Regulation, Dara Calleary TD, launched a public consultation on proposals to enhance the Companies Act 2014 on Monday, 8th May. The Department of Enterprise, Trade and Employment is seeking views on a proposed Companies (Corporate Governance, Enforcement and Regulatory Provisions) Bill which will focus primarily on four areas of company law - corporate governance, enforcement, administration and insolvency.
The Financial Reporting Council (FRC) Launches Consultation on Revision to the Corporate Governance Code
The FRC has launched a public consultation on proposed revisions to the UK Corporate Governance Code. This follows the UK Government's response to the White Paper, Restoring Trust in Audit and Corporate Governance, which identified areas of reform related to a particular focus on directors' responsibilities for internal control, risk, audit and corporate reporting.
Amárach Research's Survey of Irish Attitudes to the Charity Sector Published by the Charities Regulator
The Charities Regulator has published a survey in conjunction with Amárach Research to gather the attitude of Irish citizens toward the charity sector. The survey showed strong public support for greater enforcement, tighter controls on charities by the Regulator, and more checks on charities’ activities.

The Corporate Enforcement Agency (CEA) published a response to the Law Reform Commission's consultation on the topic of club, societies, and other unincorporated associations liability.
Minister Burke Marks Ireland's Entry into the Cooperative Cyber Defence Centre of Excellence
Minister of State for European Affairs and for Defence, Peter Burke TD, has officially marked Ireland’s entry into the Cooperative Cyber Defence Centre of Excellence (CCDCOE). The Estonia-based multinational cyber defence hub allows members to work together and pool knowledge to combat cyber threats and enhance cyber defence.
