Our recent New Members' event in The Dean, Harcourt St, Dublin, was a very enjoyable experience where new members got to meet each other face-to-face, many for the first time. Networking is a key benefit of IoD membership, whether it be through IoD in-person events, workshops, or the Chartered Director Programme, and more, so we encourage you to actively partake of any IoD offerings that you can.
In this regard, our online Business Connections networking events series is designed specifically to introduce and foster interactions between all our members and we encourage you to attend our next session on Thursday, 26th May, details below.

The Annual General Meeting of the Institute of Directors in Ireland will be held on Wednesday, 18th May 2022, at the Thomas Prior Hall, Clayton Hotel Ballsbridge, Merrion Road, Dublin 4. Please note: there will be a reception following the AGM at which all IoD Ireland members are welcome. The relevant IoD AGM 2022 documents can be found on the AGM website page.
It wasn’t a story that garnered much media attention when it was announced, so you could be forgiven for not noticing that the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 has been extended until 31st December 2022. Among the provisions in the Act are those relating to virtual general meetings, and the period of examinership, and more. It is to be hoped that some of these measures will be placed on a permanent statutory footing sooner rather than later.
Thank you to all our members who took part in our latest quarterly Director Sentiment monitor survey, for Q1 2022. The report will be published in full later this month and some of the advance findings are very interesting. The fact that almost half (48%) of business leaders note hybrid working has been a success is significant. It would seem, too, that business leaders are split on whether the Draft Scheme of the Right to Request Remote Working Bill 2022 will satisfy both employees and employers. The finding that 37% of business leaders say they ‘don’t know enough’ about the Right to Request Remote Working Bill 2022 indicates that we have some way to go on this issue.

Director Sentiment Monitor Survey Q1 2022: Update
We value our members’ views and appreciate their feedback in our quarterly Director Sentiment Monitor surveys, and the results for Q1 2022 are thought-provoking, indeed. Some early advance findings - notably those relating to hybrid working, and the impact of war in Ukraine - have already garnered considerable media coverage via outlets such as RTE's Morning Ireland, Irish Independent, RTE.ie, Irish Examiner, Think Business, the Business Post, and a host of regional and local radio stations around the country.

We are delighted to publish the latest list of recently qualified Chartered Directors. As part of this qualification, newly qualified Chartered Directors may also use the designation CDir after their name.
The Chartered Director Programme is a unique qualification for directors and strategic business leaders combining learning and professional experience. This sought-after programme has been running in Ireland since September 2008 and is delivered exclusively by IoD Ireland.

Formerly of Golden Vale Plc and Kerry Group, he is member of IoD Ireland since 2006 and was among the first group in Ireland to qualify as Chartered Directors under the IoD's Irish Chartered Director Programme.

Members in the News
Congratulations to Anne Heraty who has been chosen as The Irish Times Business Person of the Year for 2021, an award run in association with Bank of Ireland. In the period under review, Ms Heraty sold CPL Resources to Japanese group Outsourcing for almost €318 million in an all-cash deal. Ms Heraty co-founded the Irish-listed recruitment company more than 30 years ago, floating it on the stock market in 1999.
Tom Moran has been appointed Chair of Kerry Group, succeeding Philip Toomey who has been in the role since 2018. Moran was appointed to the Board of Kerry Group in September 2015 and is currently Chair of the Remuneration Committee and a Member of the Governance, Nomination and Sustainability Committee. He also served as a Member of the Audit Committee from December 2015 to November 2020.
Stephanie Manahan has been appointed as Chief Executive with Pieta, the national suicide prevention charity. She is currently CEO of the Central Remedial Clinic (CRC), a role which she has held since June 2014.

Latest Government and Stakeholder News
Companies (Miscellaneous Provisions) (Covid-19) Act 2020 Extended
The interim period of the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 has been further extended to 31st December 2022 following Government approval last week. It had been due to expire on 30th April. The Act makes temporary amendments to the Companies Act 2014 and the Industrial and Provident Societies Act 1893 to address issues arising as a result of Covid-19.
The Act makes provision in respect of business solvency by increasing the period of examinership to 150 days and increasing the threshold at which a company is deemed unable to pay its debts to €50,000. The Act also extends the provisions allowing 240,000 companies and 950 industrial and provident societies in Ireland to hold their Annual General Meetings (AGMs) and general meetings by electronic means.
The Minister for Trade Promotion, Company Regulation and Digital, Robert Troy TD, said: “While this is likely to be the final extension of these particular measures, work is continuing to put virtual AGMs and general meetings on a permanent statutory footing. Government and I will continue to support Irish businesses across the spectrum of Government activity to ensure that our economy and our businesses prosper.”
The International Sustainability Standards Board (ISSB): Consultation
The International Sustainability Standards Board (ISSB), established at COP26 to develop a comprehensive global baseline of sustainability disclosures for the capital markets, has launched a consultation on its first two proposed standards. One sets out general sustainability-related disclosure requirements and the other specifies climate-related disclosure requirements. The proposals - exposure drafts - build upon the recommendations of the Task Force on Climate-Related Financial Disclosures (TCFD) and incorporate industry-based disclosure requirements derived from Sustainability Accounting Standards Board (SASB) Standards.
Disruptive Technologies Innovation Fund
The Disruptive Technologies Innovation Fund (DTIF) is a €500 million challenge-based fund established under Project Ireland 2040. It is one of four funds set up under the National Development Plan (NDP) 2018-2027. The Disruptive Technologies Innovation Fund is seeing investment in the development and deployment of disruptive innovative technologies, on a commercial basis, targeted at tackling national and global challenges. The Government launched the fifth call for applications to the Disruptive Technologies Innovation Fund (DTIF) on 22 April 2022.
Launch of Ireland’s First Women in Finance Charter
The Women in Finance Charter is a collaboration between industry and Government under the Ireland for Finance strategy. Ireland for Finance is the Government’s blueprint for the development of the international financial services sector. Diversity is a key theme of the strategy. The Charter was developed in partnership with Financial Services Ireland, Insurance Ireland, Banking & Payments Federation Ireland and Irish Funds.
