Dear clients and friends,
I am pleased to inform you that I have joined the law firm of Mandelbaum Salsburg as a Partner in the Business Law and Securities Practice Groups. I will work out of the Firm’s New York City office but also maintain my presence in Fairfield County, CT, serving my existing and prospective clients in both the public market and private equity financial sectors.
At Mandelbaum, I will continue my general corporate, finance and securities law transactional practice, engaged (1) on the one hand, in the company-side representation of private and public companies, structuring, negotiating and documenting: (i) registered public offerings and exempt private placements of company equity, debt and hybrid securities; (ii) senior loan and mezzanine debt financings; (iii) M&A and other business transactions and alliances; and (iv) general company and corporate governance matters; and (2) on the other hand, in the representation of private equity funds and company divisions, counseling in connection with their respective portfolio investments and company venturing activities, including guidance with respect to initial and follow-on investments, mezzanine financing, recapitalizations and exits.
With the New York office, I rejoin some former colleagues and round out my existing securities practice, enabling me to offer representation of domestic and international public companies in a variety of primary and secondary offerings, together with seasoned advice concerning capital market transactions, regulatory compliance and periodic company reporting obligations.
The larger legal platform afforded by Mandelbaum Salsburg will also benefit my existing and prospective clients with immediate access to other attorneys practicing in a broad array of complementary legal disciplines, including tax, real estate, intellectual property, antitrust, employment, environmental and dispute resolution. At the same time, the size and intimacy of the firm’s New York City office will permit me to continue to provide clients with the flexibility and autonomy they've come to rely on in my current legal engagements.
