CLOSING PRACTICES FOR BUYERS

 

KW Roatan’s Partner and Attorney at Law, Hilsy Villalobos shares her expertise on closing on a property you have decided to buy. It is now a fairly uncomplicated process and obviously, your agent, your lawyer, and the brokerage will guide you through the procedure to make it as smooth and painless as possible.

 

It is important for both the buyer (and seller) to work with experienced legal representatives who can assist them through the process and ensure that their interests are protected.

 

A real estate closing transaction can take the form of:

 

  1. A transfer between an individual to another individual, a transfer between an individual to a corporation or vice versa (a holding corporation is the equivalent of an LLC), or
  2. The purchase of a corporation with its assets, commonly known as a "Transfer of Shares”.

 

Routinely, the attorney will conduct a title search to ensure that the seller has clear ownership of the property, that there are no outstanding liens or encumbrances on the property, that it is in good standing, and that all property taxes and other fees have been paid.

 

Transaction type 1 is a simple process with costs running to about 5.5%-6% of the purchase price. It includes payment of tax registration, municipal tax (to have the catastral certification processed and registered in the buyer’s name), transfer taxes, attorney fees, and obtaining RTN cards.

 

Transaction type 2 (transfer of shares) is a different process, and generally costs run at roughly 3% of the purchase price since no transfer of ownership is involved. The costs include attorney fees, registry fees, bar association stamps, and personal RTN(s).

 

This type of transaction is commonly followed if the buyer is purchasing more than 3000 square meters (0.74 acres), which is not permitted according to Honduran Constitutional Article 107. A transfer of shares means that the property remains under the name of the corporation and is not held in the individual’s name, therefore, legally enabling a non-Honduran to own multiple or larger properties.

 

After the closing, the buyer's attorney will register the transfer of ownership with the local land registry office to ensure that the buyer's ownership is recorded and recognized.

WHO’S GOT A LOVELY BUNCH OF COCONUTS?

Well, shut the front door – a coconut is classified as a fruit, not a nut or seed! In fact, a coconut falls under a subcategory known as drupes, which are defined as fruits that have an inner flesh and seed surrounded by a hard shell.

 

Coconuts grow on palm trees with the scientific name Cocos Nucifera. They likely originated in India and Southeast Asia and were carried by the seas to other countries. Today, coconuts grow in warm climates across the globe, such as the Caribbean, parts of Africa, South America, and, in many countries, are one of the most important crops.

 

They have multiple uses such as food, fuel, cosmetics, folk medicine, and building materials, among many others. The inner flesh of the mature seed, as well as the coconut milk extracted from it, form a regular part of the diets of many people in the tropics and subtropics.

 

You simply must try one of the delicious island’s specialties of coconut shrimp or, better yet, swig on a hand-blended piňa colada.

 

Historically, people have used coconut as part of traditional (“bush”) medicine. Research suggests that amongst other things, the meat is said to counteract some poisons, protect against disease, boost the immune system, aid digestion, ease inflammation and kill bacteria. Many actually rinse their mouths out with coconut oil to improve oral hygiene due to its antimicrobial properties (which sounds kind of yucky).

 

And apparently, coconuts can help with weight loss due to their fat-burning, easily digestible, and endurance-boosting qualities.

 

Coconuts are also highly resistant to salt water so are used in the manufacture of ropes, mats, baskets, brushes, and brooms.

 

It is a thing of beauty to see someone scale a palm tree, pluck the precious booty, hack it open with a machete, and guzzle the contents, just as it is.

 

With them literally littering most areas of the island, we aren’t going to run short of these magical fruits that just shout out Caribbean Island living.

Why is this such a big deal? To put the accolades into context, Honduran women, shockingly, have only been allowed to vote since 1955 so all women who are forging their way ahead in business today, are truly inspirational and pioneers in the commercial world.

 

Ana was also presented with the Paul Harris Medallion (founder of Rotary International) by Jennifer E Jones (first woman President of Rotary International in 117 years) in recognition of her contribution to Roatan Rotary Club, of which Ana is President Elect 2023-2024.

 

The gala, held in San Pedro Sula, attended not only by “Roatarians” but by international members of the organization responsible for solving many of the world’s most complex and pressing problems.

 

Hopefully, many young girls and women are looking to all achievers and adopting their “can do” attitude, their drive and ambition, and their strength and perseverance.

 

A huge shout out to all the honorees who received recognition in what can be the tough world of business. And, to those who have dreams of owning their own company, and being their own boss, keep forging ahead and don’t give up - everything is possible.
