LIBOR Phaseout Implications For Credit Agreements 

Few things have generated comparable levels of mental anguish and attention among investors and finance professionals as the looming phase-out of LIBOR as a benchmark interest rate, which takes place by the end of 2021. Martin LLP is pleased to announce that its client, Recyclebank, a rewards platform that encourages individuals to recycl e through incentive programs, has been acquired by Recycle Track Systems, a leading recycling technology company.  Martin LLP acted as legal counsel to Recyclebank. Specialty Chemical Company Acquires Manufacturer 
Martin LLP represented a specialty chemical portfolio company of a private equity firm in the add-on acquisition of a manufacturer and marketer of specialty chemicals in a transaction valued at approximately $48 million. 

Qualified Opportunity Zone Funds and Businesses 
Martin LLP has advised numerous clients in structuring and forming Qualified Opportunity Funds (QOFs) and Qualified Opportunity Zone Businesses (QOZBs) under the new federal Opportunity Zone tax incentive program; including representations of QOFs in private placements of securities and of QOZBs in real estate development projects and funding of early stage businesses located in Opportunity Zones.

Middle Market Lending Transactions 
  • Martin LLP advised a national bank as first lien lender and administrative agent in the secured first and second lien financing of the acquisition by a private equity sponsor of a company in the business of operating commercial laundry facilities. 
  • Martin LLP advised a national bank as first out lender in the $19 million secured unitranche financing of a company in the business of providing mission-critical building compliance consulting services to the Class A commercial real estate market.  
Chris Martin Presents Expert Tips on "Selling Your Business Safely & Smartly"

October 2019, Chris Martin presented at The Marcum LLP forum on "Selling Your Business Safely and Smartly."  This conference presented real-life examples and strategies for effectively dealing with some of the most common lifecycle events that private companies and their owners' experience. The focus was on the planning owners can do to prepare for and overcome potential altering events. 

Highlights from Our Pro Bono Practice 

Martin LLP attorneys collaborated with Community Capital New York and Fordham Law School's Entrepreneurial Law Clinic to conduct a free day-long legal clinic for small business owners on Friday, October 4th. Participating businesses were clients of Community Capital, a nonprofit community lender that provides affordable loans and business training to low- and moderate-income business owners who often lack access to advice from experienced business lawyers. 

The clinic, now in its third year, forms an important part of the Firm's commitment to pro bono and community service. Participating Martin LLP attorneys included Chris GeotesJason Putter and Will Malpica, a Fordham Law graduate who also directs the Firm's pro bono efforts.
