PRESIDENT'S MESSAGE
Dear Langston Supporters, Sponsors, and Members:

I am truly honored and humbled to have served as your John M. Langston Bar Association President for 2019. As we approach the end of the year, we should all be so proud of the accomplishments we have achieved together. In line with our 2019 theme of “Langston is Family – Looking Back, Looking Forward, Looking Out,” we have worked this year with these pillars at the forefront of the work we did.

Throughout the year, we “looked back” by having more than 50 outstanding events , including (but not limited to) a Black History Month event entitled “Our History is Black History” and our annual Hall of Fame event in October. The Langston Bar Association has “looked forward” by creating its first online Membership Directory so we can serve as a resource for each other. Langston has “looked out” by reaching its goal of $100,000 in scholarships for law school students, which will be distributed at the 2020 Langston Gala. This $100,000 amount will be the largest in scholarship donations that the Langston Bar Association has ever distributed to law school students. And it is because of your constant commitment and generosity to our organization throughout the year.

Ellisen Turner Joins Kirkland & Ellis as Intellectual Property Litigation Partner in Los Angeles

Kirkland & Ellis LLP is pleased to announce that prominent intellectual property strategist and litigator Ellisen Turner has joined the Firm’s Los Angeles office as a partner.

“Ellisen is known for his strong IP litigation experience, as well as his leadership within the legal community,” said Jeffrey C. Hammes, Chairman of Kirkland’s Global Management Executive Committee. “His talents and business acumen will be a positive addition to our active IP practice.”

Ellisen’s practice focuses on complex patent and trade secret litigation and IP strategy and transactions. He represents clients on high-profile matters in numerous federal courts, as well as at the U.S. International Trade Commission, the Patent Trial and Appeal Board, and in domestic and international arbitrations.

With a background in computer engineering, computer science and biomedical engineering, Ellisen has represented and advised clients across multiple technology sectors including media and entertainment technology, semiconductor design and fabrication, biotechnology and life sciences.

Deeply involved in the Los Angeles community and in national legal organizations, Ellisen has been appointed numerous times to the Judicial Elections Evaluations Committee for the Los Angeles County Bar Association. He has served as the chairman and a board member of the Intellectual Property Section of the National Bar Association. He also serves on the Intellectual Property Owners Association Litigation Committee and its Education Subcommittee.

MID-LEVEL LITIGATION ASSOCIATE – LOS ANGELES
Foley & Lardner is seeking a mid-level associate with 4-6 years of business litigation experience to join the Business Litigation & Dispute Resolution Practice Group in our Los Angeles office. DIVERSITY BAR EXAM PREP COURSE STIPEND/SCHOLARSHIP

Background and Purpose:
ACC-SoCal believes that it is incumbent upon the legal community to assist in alleviating the economic burden faced by financially-challenged minority students as each student prepares for the California Bar Exam and a future in the legal profession. To help students resolve this burden, the ACC-SoCal scholarship program pays for a limited number of California Bar Exam review courses for minority students that might have otherwise had to forgo taking such courses. A limited number of recipients will be selected from applications received from qualified students who demonstrate high moral character and financial need.

Eligibility:
Eligibility is limited to full-time and part-time minority law students who (a) experienced financial hardship during their law school career and may have to forgo taking a bar review course if not for this program, (b) will graduate in spring 2020 or fall 2020 with a JD from an ABA-accredited law school in ACC-SoCal’s designated region (i.e., Los Angeles, Orange, Ventura, Santa Barbara, Riverside, and San Bernardino counties), and (c) registered (including Moral Character Application submission) to take the California Bar Exam in July 2020 or February 2021.

Senior Counsel, Business & Legal Affairs

Position Description
The Senior Counsel, Business and Legal Affairs serves as an integral part of the OWN Business and Legal Affairs department and closely supports the department's SVP. This role will draft agreements and correspondence related to talent, production, new media and licensing deals for programming, creative, marketing, sales and digital. Additionally, this position will be responsible for guiding third party production companies and creative partners on OWN production legal protocols. The position will report to the SVP, Business and Legal Affairs.

Key Responsibilities
  • Extend offers, negotiate, and draft terms for complex, multi-component deals including, but not limited to marketing partnerships, distribution agreements, content acquisitions, scripted and unscripted series deals, pilot-to-series deals, studio network license agreements, talent deals, co-finance and production deals and acquisitions.
  • Negotiate and draft sophisticated term sheets and agreements related to marketing, new media, international distribution and rights agreements.
  • Manage work product of paralegals responsible for tracking business affairs deal terms, rights clearances, status charts, and other duties related to rights management.
  • Provide strategic advice to the SVP on important business and legal affairs initiatives.
  • Maintain awareness of applicable regulatory issues and work with outside counsel to provide regular updates on such issues.
  • Work collaboratively with support staff and other members of the team to achieve department objectives.
  • Handle production legal issues in connection with various series and acquisitions and liase with third party production companies.
  • Interact with and advise clients in other departments such as Programming, Production, Finance, Press, Marketing and Digital.
Requirements
  • Bachelor's degree and law degree.
  • CA Bar membership.
  • A minimum of 7 years of legal experience, preferably with a television production company, cable network and/or law firm.
  • Experience with corporate law or litigation is a plus.
  • Excellent written, verbal and presentation skills.
  • Strong critical thinking and analytical skills, with a demonstrated track record of sound business judgment.
  • Superior negotiation skills, with a high level of attention to detail.
  • Results oriented, extremely proactive and highly responsive.
  • Excellent business acumen.
  • Experience drafting and negotiating complex contracts.
  • Demonstrated ability to prioritize competing interests and effectively manage project timelines.

The Disneyland Resort Legal Department is seeking qualified candidates for an Associate Principal Counsel position to provide legal advice to various departments at the Disneyland Resort including Sales, Marketing and Operations. Primary responsibilities include commercial transactions, including drafting and negotiating various agreements, reviewing marketing and sales collateral, and providing legal advice to various business units. Experience with sales, marketing, intellectual property, social media, information technology, and governmental/regulatory law is a plus. An understanding of the theme park, resort, and entertainment industry is also a plus.  
 
Legal Affairs for Disney Channel Worldwide is searching for an attorney to work in the role of Counsel who will provide support in structuring, negotiating, drafting and advising on deals relating to the development and production of television programming for both Disney Channel/Disney XD/Disney Junior as well as for our new streaming service, Disney+. This person will work in a supportive role as they continue to develop legal expertise, judgment and experience that is expected of more senior positions.
 
The Disney Music Group is seeking an attorney to join the Business Affairs & Legal Counsel team that provides business and legal affairs services for Walt Disney Records, Hollywood Records, Disney Music Publishing and Disney Concerts (collectively DMG). The position will work closely with the various DMG departments to service their business and legal affairs needs, and will interact with third parties and other Disney business units on behalf of DMG. Primary responsibilities include negotiating and drafting a wide variety of agreements pertaining to all aspects of Disney Music Group’s businesses including: artist recording related, music publishing/administration, touring, merchandising, name and likeness, sponsorships/endorsements, producer, mixer, remixer, sideartist, video production, photographer, soundtrack albums, concert rights licensing, marketing agreements, synch licenses and master use licenses; assisting in handling claims, researching rights issues, and clearing masters for third party releases, as well as other duties pertaining to the daily operations of the record labels, music publishing entities and related DMG activities.
 
The Disney Corporate Legal Department, Physical Antipiracy group is seeking highly qualified candidates for an attorney position, managing trademark and copyright enforcement programs in various countries throughout the world. Responsibilities will include management of physical antipiracy programs including criminal, administrative, and civil legal procedures to address counterfeiting online and on the ground as well as other misuses of IP; supervision and management of outside counsel and investigators in multiple countries; and ensuring an integrated approach to worldwide IP and enforcement issues while serving local needs and accommodating local conditions in close cooperation with colleagues in countries all over the World. Additional responsibilities will include consultation regarding law developments in multiple countries as well as practical conditions for enforcement for or in connection with Trade Association and/or Government Affairs activities and other purposes, working closely with colleagues in other countries, client counseling regarding copyright and trademark law and enforcement strategies, and continual support of clients by advising and updating numerous stakeholders on actions taken, both on a case-by-case and program-wide basis.
 
The successful candidate for this Principal Counsel position will be an integral part of Disney’s Employment Law team, working on employment matters from the routine to the cutting edge, affecting the entire Disney enterprise -- Parks, Experiences and Products; The Walt Disney Studios (Disney Live Action, Walt Disney Animation Studios, Marvel, Lucasfilm, and Pixar); Walt Disney Television; and Walt Disney Direct to Consumer and International. The Principal Counsel will collaborate with legal colleagues, Employee Relations and Human Resources professionals to continue the successful workforce integration following Disney’s merger with Twenty-First Century Fox and to help shape Disney’s employment philosophy, policies and practices. Responsibilities will include advising on harassment, discrimination and retaliation investigations, evaluating requests for accommodation, drafting responses to claims and demand letters, revising administrative charge responses, researching and advising on legislative trends in harassment prevention and other areas, working with Employee Relations to enhance training programs, analyzing equal pay claims, counseling internal clients on various employment matters, and researching and advising on Guild, Film Institute and other industry organizations’ evolving policies and standards in the areas of diversity, fair pay and harassment.
 
The Principal Counsel for Fox 21 Legal Affairs will be a senior member of a diverse and dynamic Legal Affairs team. You will work collaboratively with Fox 21 senior management on all legal matters, and will be expected to provide guidance and direction reflecting sound judgment and substantive legal knowledge and expertise. You will be directly involved in managing significant and complex legal issues for Fox 21. You will work closely with corporate legal departments, senior corporate leadership, and others in handling these matters. The position reports to the Assistant Chief Counsel for Fox 21.
 
The Corporate Legal – Distribution group is responsible for negotiating the distribution of feature films from the Walt Disney Studios (including Disney, Disney-Pixar, Marvel, Lucasfilm) and Media Networks content (including shows from ABC Entertainment, ESPN, Disney Channel/Disney Jr., and ABC Family), including distribution through home video, cable, satellite, IPTV, online and mobile platforms, and advising business executives on related legal and policy matters. This position will serve two functions. Its primary function will be to provide strategic advice and counsel to clients that manage electronic home video (“EHV”), transactional video-on-demand (“TVOD”) and subscription video-on-demand (“SVOD”) agreements for The Walt Disney Company’s with global licensees (i.e., distribution platforms with presence in the US and internationally). As such, the successful candidate will liaise with Disney’s international counsel and regional lawyers and business teams to ensure consistency among our company’s various agreements, will handle all drafting, and will collaborate with such teams in the negotiation and closure for such transactions. As part of that work, this position will serve as the primary legal point-person for designated Disney’s licensees.

The Corporate Legal team is seeking an experienced attorney to work in a fast-paced environment on innovative, high-profile, industry leading content distribution matters, including long term licensing agreements for motion picture and television series to sophisticated licensees in North America. This role will be responsible for drafting, negotiating and closing license agreements for the distribution of the Company’s motion pictures and television content in the US and Canada which may include working on license agreements for basic cable programming services, broadcast networks and local broadcast stations, advertising supported and subscription based video on demand platforms in the United States and Canada as well as pay television services in Canada. In addition, the role will include providing legal support and advice to the distribution group and participate in other legal department initiatives. This person will ideally have experience in media distribution with proven ability to work independently.
 
ABC Entertainment is seeking an experienced attorney with strong transactional skills and entertainment background to be part of its Legal Affairs team. Responsibilities will include handling agreements and resolving legal issues in connection with development, production, licensing and promotion of television programs for ABC Entertainment. Drafting, negotiating and advising on a wide variety of agreements and deals, including acquisition, development and licensing of scripted and reality programming, late night, theatricals, movies-for-television, specials, sponsorship agreements, marketing and promotional agreements and production of original programming. Analysis and advice in connection with legal rights and obligations, deal structure, guild agreements, intellectual property matters, claims, clearances, audits and other matters arising out of the day-to-day operations of a national, commercial, free television network. Responsibilities will also include supporting general marketing/publicity legal matters such as drafting and negotiating marketing agreements, advising on talent and other rights approvals, creative clearances, as well as the production of original promotional content. Clients will include such departments as Business Affairs, Creative, Production, Production Finance, Participations, Marketing, Brand Management, Promotions, and S&P.  
 
The Walt Disney Pictures (live-action) Legal Affairs team drafts and negotiates motion picture contracts, provides legal analysis and advice, and serves as production counsel to the following areas: Walt Disney Pictures live-action theatrical motion pictures, Direct-to-Consumer original programming, Disney Nature label documentaries (theatrical motion pictures and television), Theme Park Productions, and Short Form Content (and home entertainment content enhancement). The Assistant Chief Counsel is responsible for development and production of live-action motion pictures including providing production counsel services on individual theatrical and high budget SVOD motion pictures as a senior subject matter expert. The Assistant Chief Counsel will also serve as senior legal adviser and will be expected to provide guidance and direction reflecting sound judgment, strategic vision and substantive legal knowledge and expertise in matters relating to motion picture development including rights research and analysis, drafting and negotiating rights agreements and other above-the-line talent agreements. This position will be directly involved in managing significant, complex and/or policy setting matters including drafting and negotiating overall agreements relating to production such as payroll services and other production services, vendors and suppliers; assisting in developing forms, policies and procedures to create proactive strategies to minimize risk and increase efficiencies; serve as a resource to other attorneys in the department on a regular basis as questions and issues arise and assisting in training more junior attorneys. The Assistant Chief Counsel position will be working closely with other attorneys within the studio and the corporate legal department, as well as providing counsel to senior studio leadership and others in handling these matters.
 
The Counsel for Fox 21 Legal Affairs will be a member of a diverse and dynamic Legal Affairs team. You will work collaboratively with other lawyers and Business Affairs executives on all legal matters, and will be expected to provide guidance and direction reflecting sound judgment and substantive legal knowledge. The position reports to the Assistant Chief Counsel for Fox 21. Primary responsibilities will include providing direction and guidance in connection with all legal issues related to the production of original material, drafting, reviewing and negotiating agreements for the development and production of original live action programming for telecast on a variety of platforms: streaming services and cable networks, and working closely with the corporate Intellectual Property group in connection with intellectual property issues, including anti-piracy, clearance, privacy/defamation, patent, trademark and music issues. You will partner and work closely with Labor Relations, Business Affairs and Production on high-level and strategic labor issues that confront Fox 21.
 
The Counsel for Fox 21 Legal Affairs will be a member of a diverse and dynamic Legal Affairs team. You will work collaboratively with other lawyers and Business Affairs executives on all legal matters, and will be expected to provide guidance and direction reflecting sound judgment and substantive legal knowledge. The position reports to the Assistant Chief Counsel for Fox 21. The primary responsibilities include providing direction and guidance in connection with all legal issues related to the production of original material, drafting, reviewing and negotiating agreements for the development and production of original live action programming for telecast on a variety of platforms: streaming services and cable networks, analysis and advice in connection with intellectual property matters, claims, clearances, and other matters arising out of the day-to-day operations of a large television studio. Clients will include such other departments as Business Affairs, Creative, Development, Production, Production Finance, Casting and Casting Administration, Contract Administration, Marketing, and Brand Management. Experience in the following areas is essential: live action, scripted television production; distribution/acquisition agreements; copyright; trademark; clearances; defamation; rights of publicity and privacy, and other personal and property rights.

The Walt Disney Company’s New York Legal Affairs Department is seeking an Associate Principal Counsel to report to the Assistant Chief Counsel, Legal Affairs, New York. This position currently supports ABC News, Owned Television Station Group, ABC News Radio, and Lincoln Square Productions (a production unit within ABC News). The primary responsibilities include preparing and negotiating all agreements for the clients, including, without limitation, talent, production services, program license, license, distribution, releases, vendors, equipment leases, venue/location, third party materials licenses, syndication, sponsorship and promotion, non-disclosure/confidentiality, technology; and radio network affiliation. The position is also responsible for counseling the clients regarding trademark, copyright and other intellectual property issues and providing general deal structure and legal advice.
