The CM&AA Certification and Being All You Can Be
By: Dennis Niven, CM&AA, B2B CFO®, Alliance Member - Arizona Chapter

I attended The Alliance's CM&AA course at DePaul University in Chicago a few years ago along with two of my partners in B2B CFO®. The class helped me celebrate my 60th birthday with a cake at the training. You might wonder why a successful and mature senior partner in a large strategic consulting firm would want to add a credential like this behind his name. Well, it wasn't the credential on my business card that I was after. I am a CPA and have master's and doctoral degrees that aren't mentioned on my card. It was the additional skill set that I was after.

The purpose of our attending the intensive week-long course was to complete a "deep-dive study" of private capital markets, financing growth, private company valuation, M&A negotiations, investment banking, and the legal & tax implications of all phases of M&A, and, of course, pass the CM&AA® exam. The four-hour exam was very comprehensive and, after an intensive week of training that followed weeks of reading textbooks, proved to be worthy of the senior credential that is the CM&AA® (there were less than 500 holders of the certification in the entire world). I am proud to say that the three of us passed, as have many of my partners since then. Every partner in our firm is encouraged to obtain the CM&AA® as our senior credential.  Continue Reading>>

Long Island Chapter of Alliance of Merger & Acquisition Advisors featured Mark Burford, Co-Founder of Blue Point Brewing Company Plainview, NY May 1, 2018 - The Long Island Chapter of Alliance of Merger & Acquisition Advisors recently hosted a fireside chat with Co-Founder of Blue Point Brewing Company, Mark Burford. The event took place on April 11 at Carlyle at the Palace in Plainview and had more than 60 attendees.

At the fireside chat, Mark Burford announced that Blue Point Brewing Co. is only a weeks away from launching a larger, state-of-the-art brewery in Patchogue. He also discussed the struggles of the business before its acquisition.

"We think it's important for dealmakers and business owners to attend these types of events," said Luis de la Prida, Partner at New York Business Brokerage. "Small businesses especially can learn how to take their business to the next level if they know how best to negotiate a deal that is right for them."

Sponsors for this event included: Baker Tilly, Hightower Advisors, Meyer Suozzi, and New York Business Brokerage.
"We could not do these types of events without our sponsors," said Anthony Citrolo, co-founder of Alliance of Merger & Acquistion Advisors - Long Island Chapter. "We look forward to working with more businesses at our future event on June 14th."  Continue Reading>>

Dealmakers Planning for a Successful Integration: First Steps in  Carrying Out the Integration and Highlighting the IM's Role
By: Gary W. Craig, Managing Partner & COO, Vector Group, Inc.

In this continuing series, last month In MidMarket Talk, Dealmakers Planning for a Successful Integration: The M&A Roadmap for Success described a nine-phase guide to Cultural Due Diligence (CDD) starting with Target identification continuing through the first year of Integration following a merger or acquisition. This month the focus is on the First Steps in Carrying out the Integration.

Although each phase of the Roadmap outlines critical roles and responsibilities of those involved, we believe the use of an identified Integration Manager (IM) is crucial for the success of the merger or acquisition. The Acquiring Company should generate a list of potential integration managers as early as the Target Evaluation stage. There must be an IM selected before "Go or No-Go decision stage" and in place roughly 30 days before announcing the deal. (Craig, 2015)    Continue Reading>>
Five Guidelines to Prevent Failed Cross-Border Deals
By: Anthony Bahr, Vice President, VOC Strategic Practice, Strategex

Over the past decade, there has been a drastic increase in both the number and the value of cross-border mergers and acquisitions. Today, cross-border deals account for roughly 40% of global M&A activity, and there is little evidence to suggest this trend has plateaued as acquirers continuously evaluate new growth and diversification opportunities outside of their home markets.

Unfortunately, it is well documented that most of these deals fall short of expectations. Failure rates are pegged anywhere between 70% and 90%, leaving only a handful of deals that actually enhance shareholder value. What is less documented are the underlying causes for failed cross-border M&A activity. "Integration issues" are commonly cited, but what does that really mean? And how can acquirers structure due diligence to reduce the chance of failure?

Based on our experience conducting global customer due diligence engagements, we have developed five guidelines for increasing the odds of a successful cross-border deal. Continue Reading>>
