Dear NAJIT Members:
Every so often, governance documents must be amended to keep up with developments in the field, technology’s advancements, cultural adjustments, and the Association’s growth. Over the course of the last two years, the Bylaws and Governance Committee has been working diligently with the Board to do just that. As a result, we are proposing several Bylaws Amendments. Some of these are very simple, like changing “chairman” to “chair” in order to keep it gender-neutral or correcting the verb in a sentence; others may require your careful consideration, like adding a Vice Chair to the Board officers.
As you read the proposed Bylaws amendments, please make a note of any questions you may have. The Board will hold a virtual Town Hall on Saturday, May 21 at Noon ET to go over these amendments and answer any questions you may have. The final vote will be during the Annual Meeting scheduled for Saturday, June 4, in Fort Lauderdale, Florida.
If you are not planning on attending the Annual Meeting and you are an Active Member entitled to vote, you may give your proxy to a fellow Active Member whom you know will be at the Annual Meeting, so your vote can be counted. Proxy votes require notification in writing, so please reply to this email before May 13, 2022, if you wish to vote by proxy and receive additional instructions.
Pursuant to Article Ten, Section I of the current Bylaws, these bylaws “may be amended, repealed, altered or added to in whole or in part by a two-thirds vote among the members of the Association present and voting in person or by proxy at any Annual Meeting...”
