American Pharmacies is governed by a seven-member board of your peers, who are required to be stockholders and independent pharmacy owners. Board members serve staggered three-year terms.
At its March 2023 meeting, the Board voted to add one director position, increasing the number of Board members to eight from the current seven.
Three positions on the Board of Directors are up for election -- the new seat created by the Board and the two seats currently held by directors Alton Kanak of Katy, Tx, and Vance Oglesbee of Fairfield, Tx. The current terms of Kanak and Oglesbee end June 30, 2023, and both directors have stated a desire to continue serving on the Board for another term. Current Board advisor Grant Brown of Jackson, MI, is now eligible to serve on the Board and has stated his intention to seek a director position.
In the event that there are four or more candidates for the three Board positions, a shareholder election will be held and the three candidates receiving the most votes in the election will be declared the winners of the three seats. The terms for all three seats will run from July 1, 2023, through June 30, 2026.
Nomination Guidelines
APRx shareholders may nominate themselves or any other eligible APRx shareholders as candidates for the Board of Directors. If you are nominating someone other than yourself, you must provide your name and contact information.
All nominations must be submitted on the Candidate Nomination Form and must be submitted by 5 p.m. on Friday, April 28, 2023.
NOTE: American Pharmacies will verify the eligibility of all nominees before they may seek election to the APRx Board of Directors.
