Hello!

We have closed, by all accounts, an outstanding year. There was the brilliant business strategy event sponsored by Tonkon Torp LLP and held at NIKE's World Campus. We also considered various litigations topics with the help of Markowitz Herbold PC and Holland & Knight.  Our chapter also came together with our families to watch a Portland Thorns defeat Seattle, tour the Widmer Brewery and sample some spectacular food and sound at Stubbs BBQ during the ACC Annual meeting in Austin, Texas. 2018 ended with our chapter's annual meeting at Bluehour's L'Heure Bleue that featured a lively and interactive presentation by Ogletree Deakins.
 
We hope that the upcoming year will offer something for each one of you. Our first CLE of the year is a "boot camp" on the art of being a witness presented by Markowitz Herbold on February 13--please register soon if you are interested as space is filling up for this half day event. We will also continue our career development seminars series with sessions on resume writing for lawyers on February 28 and interviewing in the summer.  Many more informative and fun events to come – please keep an eye on your mailboxes. 
 
The past year is an accomplishment for which I extend a heartfelt thanks to our board members for their energy and our sponsors for their inexhaustible creativity. I'd like to congratulate (and thank!) Elizabeth Schultz on stepping into her new role as President Elect and welcome three new board members: Taylor Engers, Valentina Rucker and Emily Warren.

MAXIMIZE YOUR INSURANCE ROI 
A Proactive Approach to
Insurance Pays Off

Insurance is the most common risk management tool used by businesses.  But it isn’t always used wisely.  By observing a few simple guidelines, businesses and their in-house counsel can help assure that the company receives the full benefit of coverage it has paid for.  

1.      Keep your policies .  This seems obvious, but it is a constant problem.  It is next to impossible to recover under an insurance policy if you can’t prove it exists and what its terms are.  Older policies often will provide coverage for claims made at a much later date.  For example, general liability policies typically cover losses arising out of an  occurrence during the policy period.  If the occurrence happened in 1985, the general liability policy in effect in 1985 will respond, not the current policy. So, hang onto your old policies. Image them and preserve them electronically in a safe place. 

2.      If you are an additional insured, get a copy of the policy .  In many business relationships, companies will insist upon being an additional insured under their business partners' policies. Typically, they will be given a certificate of insurance as evidence that they have, in fact, been added to the policy.  Instead of relying upon a certificate of insurance, it is far better to insist upon seeing a copy of the actual policy.  Here’s why:  
  • Certificates are often issued by brokers, not by the insurer, and, therefore, are not necessarily binding on the insurer. In fact, the standard certificate contains a disclaimer explaining that the certificate "confers no rights upon the certificate holder" and "does not amend, extend or alter the coverage afforded by the policies…." If an endorsement naming your company as an additional insured was never added to the policy, you may be out of luck regardless of what the certificate says.

DISCUSSING OREGON'S SWEEPING NEW PAY EQUITY LAW WITH BARRAN LIEBMAN
AT WIDMER BROTHERS BREWING
Barran Liebman LLP held an interactive roundtable about Oregon's sweeping new Pay Equity Law on August 22 to a packed house at Widmer Brothers Brewing in North Portland.

Barran Liebman attorneys Andrew Schpak, Anthony Kuchulis, Nicole Elgin and Chris Morgan led a comprehensive discussion on the state of the law, key compliance considerations and what can be learned from the Bureau of Labor and Industries draft regulations and guidance on the matter. They also discussed the benefit and logistics of performing an Equal Pay Analysis and other opportunities to minimize legal risk and exposure. 
This event was open free of charge to all corporate counsel regardless of their membership with ACC and their colleagues in human resources. A dinner buffet in the brewery's Hefe Hall accompanied the roundtable discussion, and everyone received a pint glass and bottle of beer to take home! 

Before the CLE began, all attendees were also treated to a tour of one of Oregon's oldest and most influential craft breweries. Widmer Brothers Brewing was started by brothers Kurt and Rob Widmer in 1984. They pioneered the concept of having seasonal beers on tap and continues to honor their roots by collaborating with home brewers.

CHEERING ON THE PORTLAND THORNS
WITH MARKOWITZ HERBOLD
Over fifty members of the Oregon Chapter-ACC and their family members joined Markowitz Herbold PC for Oregon Chapter of the Association of Corporate Counsel Family Night at the Portland Thorns on September 7!
 
Oregon ACC members and their immediate family got to watch the Thorns clinch their playoff spot in the final regular season match against Northwest rivals the Seattle Reign in front of a sellout crowd. All attendees enjoyed the match from a private viewing area directly underneath the big screen at Providence Park in downtown Portland. 

This is the second year in a row that Markowitz Herbold has hosted our chapter members and their families at a Portland Thorns match. In addition to the tickets, all food and beverages were provided by the firm!

Markowitz Herbold has been a tremendous sponsor of our chapter over the years, and we look forward to more events with them in 2019--incuding our first ever in-house counsel witness bootcamp scheduled for February 13 (links to registration are located up above and in our upcoming events section).

On October 2, Tonkon Torp LLP hosted members of the Oregon Chapter of the ACC to an exclusive wine tasting for chapter members at the Domaine Serene Wine Lounge at the Sentinel Hotel in downtown Portland.

The lounge features the award-winning wines of Domaine Serene located in Dundee Hills of the Willamette Valley in addition to a selections of Château de la Crée and Maison Evenstad wines from their sister Burgundian winery located in the Santenay region of the Côte de Beaune in France.

Alongside carefully selected hors d'ouervres, chapter members had the opportunity to mingle in a relaxed atmosphere while sampling these extraordinary wines:

  • 2016 Château de la Crée, Les Tourelles De La Cree, Montagny Blanc (made from 100% Chardonnay fruit grown in the limestone-rich soils that make Montagny the most highly regarded region in Burgundy’s Cote Chalonnaise)

EMERGENCY PREPPERS AT RED STAR TAVERN WITH HOLLAND & KNIGHT
Holland & Knight hosted " Emergency Preppers – Your Survival Guide to High Stakes Litigation" on October 11 a Red Star Tavern's private Club Room in downtown Portland.

Shannon Armstrong and Matt Donohue shared examples culled from real life cases tied to non-compete clauses, collections and confidentiality agreements (with key aspects changed of course for privacy) that in-house counsel may encounter and provided steps to mitigate the risks to companies, employees and counsel.

Shannon and Matt had attendees break into smaller groups to brainstorm answers to questions tied to the scenarios they pulled from real cases. Participants had the opportunity to share and compare the different action plans each smaller group devised. All participants were also provided with an emergency checklist should they encounter similar legal situations in the future.

Thank you to Shannon and Matt--we look forward to more interactive CLE opportunities with Holland & Knight throughout 2019 including another event about diversity in the spring!
ACC ANNUAL MEETING IN AUSTIN, TEXAS
 Oregon ACC at Historic Stubb's BBQ
The Oregon chapter registered 51 members for the 2018 Association of Corporate Counsel Annual Meeting held in Austin, Texas on October 21-24, 2018. This is the largest number we've had attend the conference--nearly a fifth of our chapter!

We kicked things off with a welcome reception at at the iconic Stubb's BBQ on Sunday evening, October 21. Over 50 attendees from the Oregon and Washington chapters as well as members from chapters such as Houston, Bay Area and New Jersey joined us at this historic bbq and live music venue.

The annual conference provided 2 1/2 days of varied programming geared specifically toward in-house counsel at the Austin Convention Center. Some of the breakout sessions even included Oregon chapter members as panelists (see below). Because this year's meeting was in Texas, the final day of the conference also included a live performance of the Ethics Follies--an annual production put on by the South/Central Texas Chapter of the ACC. The 2018 version was a reworking of the musical "The Sister Act" entitled "The Shyster Act" and provided one of the more entertaining ways to receive 2 CLE credits for those in attendance.

After a full day of sessions, chapter members could be seen enjoying the excellent live music, food and drink available in Austin at networking events at quintessential spots like Antone's Nightclub or at one of the many places along the popular Rainey Street like Banger's Sausage & Beer Garden. On the final night of the conference, all four Texas ACC chapters co-hosted a huge blowout at Brazos Hall with music, food and drinks on two floors for hundreds of ACC members from across the globe.

The 2019 ACC Annual Meeting is scheduled for October 27-30 in Phoenix, Arizona. More information and early registration should be available in the spring.
ORACC MEMBER PRESENTS AT 2018 ACC ANNUAL MEETING
On October 22, Oregon ACC member Shon Ramey, General Counsel for Navex Global participated in a panel presentation alongside Nick Holland, a partner from FieldFisher and Rosemary Kuperberg, Senior Global Privacy Counsel for Ellucian Company LP about the Euoropean Union's General Data Protection Regulation at the 2018 ACC National Meeting in Austin, Texas.

Entitled "GDPR's First 100 Days: Lessons Learned", the session focused on discussion of recent events following the European Union’s enactment of the General Data Protection Regulation. It included an overview of enforcement actions that have been instituted, and explored what changes companies may be making as a result.

There was great audience participation, including polling to see where attendees' companies stacked up from a GDPR compliance perspective and conversation about how to develop a plan of action for handling changes in this evolving regulatory landscape.
2018 ORACC ANNUAL MEETING

The evening kicked off with a round up of past events, information about upcoming events and the election of the board members for 2019. A brief introduction to our chapter's new board members (Emily Warren, Taylor Engers and Valentina Rucker) can be found below. The entire Oregon ACC board for 2019 is listed at the end of this newsletter.

Ogletree's Elizabeth Falcone hosted a provocative CLE on politics and self expression in the workplace entitled "Say What --The Intersection of Social and Political Expression and the Workplace" She conducted smartphone polls throughout the presentation for real time polling of attendees on questions. It was a great way to engage members as well as spark communication about potential conflicts that can arise and how to navigate the process successfully.

Nearly 40 members attended this year's annual dinner and many stayed afterwards to network. Thank you to Elizabeth Falcone and Ogletree Deakins--we look forward to working with them in 2019!

Oregon ACC Welcomes Three New Board Members For 2019
 The Oregon Chapter of the Association of Corporate Counsel is pleased to welcome three new members to the board: Emily Warren (Standard Insurance Company), Taylor Engers (Lattice Semiconductor) and Valentina Rucker (Intel Corporation). All three new board members were elected at our chapter's annual meeting at Bluehour on November 15 and began their terms January 1, 2019.

Below, please find individual biographies about each of ORACC's new board members. We look forward to their involvement with our chapter in 2019!

Emily Warren

Emily has been with Standard Insurance Company for 4 1/2 years. Since January of this year, she has been an attorney on the transactional team, advising the business on various legal matters, including employment, RFPs, Absence Management and ADA Accommodation Services and various issues related life and disability insurance. Prior to that, she was an attorney on the litigation team for 2 years where she managed litigation against the company filed in Florida, Georgia, North Carolina and South Carolina. Emily was a contract analyst with the company prior to that, drafting complex policies. 

Emily spent three years living in Australia, where she worked for an international law firm and also with Baskin Robbins as part of the legal team. She subsequently moved to Dubai where she worked as in-house counsel for LG Electronics in the middle-eastern hub, providing advice and support to subsidiaries across Africa and the Middle East. 

She started her career in 2005 in San Francisco as an estates and trust attorney. She graduated from Kenyon College in 2000 with a degree in German Area Studies, and graduated from Golden Gate University School of Law in 2007. She is admitted to the California bar and as a Solicitor in Australia (after returning to school for two years in the country).
 
In her free time, Emily likes to travel (she's been to nearly 40 countries!), hike and practice yoga. Emily is also an avid college basketball fan.  


Taylor Engers

Taylor is Corporate Counsel for Lattice Semiconductor, where he provides primary legal and compliance support to all of its internal organizations.  Before joining Lattice, Taylor was an in-house attorney for Cascade Microtech, where he led Cascade’s legal function through the company’s public acquisition by FormFactor Inc.  Taylor prides himself in being a trusted advisor that partners with his business teams to help them understand and navigate the myriad of issues that corporate clients face in today’s world.

Taylor was born and raised in Michigan and received his undergraduate degree from the University of Michigan in Ann Arbor.  He earned his juris doctorate from the University of Oregon School of Law, where he met his wife, Abby.  

When not cheering on his hometown Michigan (and Detroit) sports teams, Taylor enjoys spending his time outside--whether it be skiing Mt. Hood, hiking the Columbia Gorge, camping on the Oregon coast or gardening in his backyard.


Valentina Rucker

Valentina is a Sales & Marketing Group Counsel for Intel's Client Computing Group (CCG), which accounts for over $35B of revenue annually for Intel. She manages a team of lawyers who advise the company on legal issues to help Intel’s CCG Sales team meet its business objectives while keeping Intel legal, ethical and respected. Prior to joining Intel in 2015, Valentina worked in Washington, D.C. at Wilson Sonsini Goodrich & Rosati for almost a decade, where she advised technology companies on all aspects of antitrust law, including agency advocacy, mergers & acquisitions and litigation. 

Valentina is an active member of the American Bar Association's Section of Antitrust Law and Association of Corporate Counsel communities. She was named the 2015 "Rising Star" by Washington DC Super Lawyers. From 2010-2015, she served as the Antitrust Section's liaison to the Russian and CIS Antitrust ABA organizations. Valentina graduated 1st in Class from Howard University School of Law and summa cum laude from Wichita State University.

In her spare time, Valentina is an avid reader, especially books on brain science (decision-making, physiology of the brain, psychology and the intersection of neuroscience and technology). She also enjoys Portland’s insanely good food scene with her husband as well as spending time with her family.
