CBM'S ANNUAL MEETING -

DECEMBER 12, 2025 1:00 - 3:00 p.m.

SUBJECT: Annual Meeting

 

In accordance with CBM Bylaws, we are required to notify members in good standing 30 days prior to our Annual Meeting.

Date & Time: December 12th , 1:00 - 3:00 p.m.

Venue: Education Center at the Catalina Catholic Church at 14380 N. Oracle Rd.

 

Agenda will include:

 

1.    Welcome: & Call to Order/Joy Erickson

 

2.    Establish a quorum. Article V Section 3: A quorum shall be established when at least 20 percent (20%) of the Members in Good Standing of the Congregation are in attendance. The secretary shall determine and declare the presence of a quorum at the start of the meetings. Members present at a duly called meeting at which a quorum has been declared may continue to conduct business until adjournment.

 

3.    Approve minutes from the annual meeting of 12/13/2024.

 

4.    Election of new Board members: Sherry Kaplan/Nominating Chair 

 

   5. Treasurer’s report 

 

  6. UPDATE TO BYLAWS: A procedural change in the election of board members Article VI Section 4/Judi Freidman 


Current Article VI, Section 4: BOD members will be elected for two years in staggered

terms so that no more than five (5) of the BOD terms expire in any year.

 

Proposed new Article VI, Section 4. BOD members will be elected for three years

terms. Terms will be staggered so that no more than three (3) of the members’ terms expire

in any year.

Proposed Bylaws change for Annual meeting on December 12, 2025




Current Article VI, Section 4: BOD members will be elected for two years in staggered

Terms, so that no more than five (5) of the BOD terms expire in any year.


Proposed new Article VI, Section 4. BOD members will be elected for a three-year term. Terms will be staggered so that no more than three of the members’ terms will expire.


In any year.

a. The terms of all current members of the BOD shall expire effective 11:59 PM  December 31, 2025.

b. At the Annual Meeting in December 2025, the members in attendance shall elect a maximum of nine and no fewer than five BOD members. Three members shall be elected to a one-year term, three to a two-year term, and three to a three-year term. The terms of the newly elected BOD members shall commence at 12:01 AM, January 1, 2026.


c.       If there are fewer than nine candidates, the number of three-year terms

shall be reduced accordingly.

                                   

d.        At all subsequent Annual Meetings, three Board members shall be elected to

three-year terms.
