The Palo Verde Neighborhood Association Board has discussed updating our bylaws for several years.
We prepared by attending seminars and consulting attorneys, state and local governments and other neighborhoods.
We learned what is required of bylaws and what is optimal. The City of Tucson, State of Arizona and the IRS only say we must have bylaws, providing little detail.
First and most important, our bylaws clearly describe the rules and procedures by which we intend to operate. Second, best practice is to keep bylaws simple so that smaller procedural changes do not need approval by the membership. These changes include details like dates, numbers, notifications and administrative procedures. Third, we are adding a new document: A more detailed policies and procedures manual written by the Board in conjunction with our bylaws that will provide flexibility while ensuring clarity about how we operate. The manual can be changed throughout the year and will only require approval by the Board. Feedback on the manual from PVNA membership will always be welcomed.
At PVNA’s Annual Meeting in October, the membership will vote on adopting the new bylaws. We intend to have them approved by the Board and ready for review by the week of September 17, along with the policies and procedures manual.
