"Problematic Provisions - Parts of a License that Nobody Likes to Deal With"

Brought to you by the same team that has presented “Problematic Provisions” sessions at the LES Annual Meeting since 2022, this hands-on interactive session will focus on helping emerging leaders who are serious about improving the quality of each licensing contract they negotiate. Here are some portions of a license that many people often overlook until it’s too late:

  1. Disclaiming Indirect, Special, and Consequential Damages.
  2. Limitation of Liability Clauses: Caps and Baskets, Super Caps; Exclusions and Exceptions.
  3. Defining what is a “Deviation”, what is a “Loss”, and what is a “Material Breach”.
  4. Data Breach and various data privacy / data protection laws and issues that sometimes revolve around patient privacy and PII (personally identifiable information).

The above problematic areas are sometimes viewed as ‘boilerplate’ provisions that can be signed without reviewing, yet glossing over these contract portions can result in significant legal and financial liabilities for an organization that fails to understand the potential risks. We’ll quickly “tee up” the background, along with a few horror stories, then share our “best practice” tips and suggested language that you can take home and review with your own counsel for

inclusion in your current and future licensing deals.

"From Prompts to Profits: Why Licensing Professionals Remain Essential in an AI-Driven World"

As emerging leaders navigate a rapidly evolving profession, understanding how to leverage AI while developing core licensing skills is becoming increasingly important. Artificial intelligence can draft licensing provisions in seconds, but successful licensing requires far more than generating contract language.

This session explores how AI is transforming the drafting and negotiation of CDAs, patent, software, technology, and data licenses, highlighting both its capabilities and limitations. Attendees will learn where AI can accelerate the licensing process, where human expertise remains indispensable, and how licensing professionals create value through deal structuring, risk allocation, negotiation, and strategic judgment which is critical for long-term career success in the field of licensing.

The program includes an interactive exercise in which participants identify and correct key issues in an AI-generated licensing agreement, demonstrating why effective licensing remains a distinctly human endeavor.

"Gazing into the Crystal Ball: Insights into the Future of the Profession"

Licensing is a relatively young profession, with just 60 years since the founding of LES and fewer than 20 years from the establishment of the professional credential, CLP. In that short period, standards have developed around deal making best practices, professional roles & careers pathways, and even ANSI IP management standards. Yet we are in a time of dramatic changes in the ways companies, nonprofits, and governments operate and technology is increasingly driving change.

What will the future bring for licensing professionals?

This session will bring together participants from core sectors across the licensing profession and ask them to look into their crystal balls and predict how the profession might be the same and how it could be different in 5 years and 10 years from now.

Unable to attend the full conference? We have now introduced day only rates for Monday or Tuesday! This includes sessions for that day AND the social event that evening.
