PROPOSED ARTICLES AND BYLAWS CHANGES
Virginia Chapter, ACR Members:

The purpose of this email is to provide you, as a member of the Virginia Chapter, ACR, official notice that proposed changes to the Articles of Incorporation and Bylaws (as detailed below) will be considered and voted upon at our virtual annual meeting which is scheduled for SATURDAY, AUGUST 8 at 9:00 AM .

In January of 2019, your Chapter Board discussed changing our name from the Virginia Chapter, American College of Radiology to the VIRGINIA RADIOLOGICAL SOCIETY to align with other states. You’ll see here that a majority of the state Chapters identify as “XYZ” Radiological Society. The Board made and approved a motion to do so and tasked the Bylaws Committee with determining the steps necessary to make this change happen.

The Bylaws Committee started reviewing the Articles and Bylaws and recognized a number of additional issues that needed addressing including inconsistencies between both documents, some technical issues, and discrepancies between the Bylaws and how the organization currently functions.

For the last several months the Committee has completed an in-depth review and revision of the Article and Bylaws and both have been reviewed by Legal Counsel.

The following major changes have been made (click on the images below to view the proposed changes and read the summary below of the major changes):

The Articles have been changed to reflect the new name. In addition, the specific membership categories have been removed to allow for flexibility in changing the bylaws, should we ever need to add/remove categories of membership in keeping with our national organization.

NAME CHANGE
The name of the organization shall change from the Virginia Chapter, of the American College of Radiology to the Virginia Radiological Society .

ARTICLE 1 (MEMBERS)
Radiologists applying for membership in the Virginia Chapter complete their applications at the national level (through the American College of Radiology). Information in this Article has been edited so that the classes of membership mirror the classes of membership of the American College of Radiology. The process by which applicants are approved to become members has also been updated to reflect how it is currently done.

ARTICLE II (MEETINGS)
To comply with § 13.1-842 of the Code of Virginia, the date range to notify members of the date, time and place of a meeting was changed. In addition, mention of an Interim Meeting of the Board has been removed as it can be considered a special meeting of the Chapter (discussed in the new Section 2). Finally, a quorum has been changed from 10% percent to 5% to make it more feasible to have a quorum present for voting purposes.

ARTICLE III (BOARD OF DIRECTORS)
The number of directors has been changed to four (from three) since the former President, President, Vice President and Secretary-Treasurer are all considered directors. The limit on the size of the Board has also been increased to account for growth in our membership (remember, the number of Councilors we are allotted is based on our apportionment figures (size of membership)).

ARTICLE IV (ELECTIONS)
The word “ballot” was removed to allow voting via virtual meeting (if necessary). Also, the term of a Councilor/Alternate Councilor coinciding with the annual meeting of the ACR was removed to reflect current practice since our elections/annual meeting don’t occur at the same time as the College’s meeting. Finally, the number “three” referring to state medical schools was removed since the state may create more radiology residency programs in the coming years.

ARTICLE V (COMMITTEES)
The Executive Committee, mentioned several times in the Bylaws, was never defined so it has been added. In addition, the following committees have been removed as they are no longer active --- Committee on Standards in Radiologic Practice, Committee on Medical Insurance, Committee on Judicial Affairs, Technologist Advisory Committee, Committee on Radiation Oncology.

ARTICLE VI (DUES AND ASSESSMENTS)
Since the American College of Radiology now handles our dues collection, much of the language in this Article was removed.

ARTICLE VII (AMENDMENTS)
With the advent of electronic communication and fewer things being mailed through the USPS, the word “by mail” was removed to allow flexibility in how the membership is notified of Bylaws changes.

ARTICLE VIII (DISSOLUTION)
Section I was added to comply with § 13.1-842 of the Code of Virginia.

Thank you for taking the time to review these proposed changes. Our Chapter will vote on these Articles and Bylaws changes during our Business Meeting as part of our Virtual Annual Meeting which will be held on SATURDAY, AUGUST 8, 2020 at 9:00 a.m . We hope you’ll make plans to join us and help the Chapter approve the name change and proposed Articles and Bylaws changes.
