Sea Pines CSA Board of Directors Meeting Held 9.22.26

A recap of the meeting action items can be found here. Timestamps of the Board Meeting can be found below:

Bylaw Change by Petition Request

On Friday, September 11, Sea Pines CSA received a petition from 322 residential property owners demanding a special meeting and vote of the membership to amend the Sea Pines CSA Bylaws. If approved the proposed amendment would mandate quarterly town hall meetings with CSA management for “interactive Q&A and operational updates”.

Section 3 of Article IV of the Bylaws and Section 33-31702(a)(2) of the South Carolina Nonprofit Corporation Act provide that members representing 5% of one class of membership of members in good standing may submit a petition to demand a special meeting be called. If the petition meets the 5% threshold, a special meeting of the full membership will be called for the purpose or purposes set forth in the petition.

Sea Pines CSA membership is made up of two groups of property owners: 5,811 Class A members, who are residential property owners, and our Class B members, who are commercial property owners.

Sea Pines CSA staff and legal counsel are reviewing the petition to ensure it meets the requirements for a valid petition under the Bylaws and state law. We will share the outcome of this review with the community, which we expect to have completed by the end of next week.
