AMHA Announces 2019 Award Winners
The AMHA Awards Committee is pleased to announce the following individuals will be recognized at its Annual Convention, which will take place as part of the UPHA Annual Conference, January 22-25 in Lexington, Kentucky .Congratulations to all!

Inducted into AMHA's Hall of Fame is Judy Nason of New Hampshire.

The Breeders' Hall of Fame honors breeders who have produced Morgans that have had a significant impact on the breed. This year's honorees is Gerald and Peggy Hatfield's Fortune Morgans of Kansas.

The Person of the Year Award honors the individual who has made exceptional contributions to the support and preservation of the Morgan breed and/or AMHA. This year's honoree is Rick Lane of Maine.

Inducted into the Show Horse Hall of Fame this year are Opies Boy, PVF Peace Of Mind, and Treble's Tanqueray GCH.

Jim and Jenny Taylor of Ohio have been selected by their peers as the recipient of the Professional Horseman of the Year Award.

The Golden Reins Award is given to Morgan professionals who have had a 30-year career in training or instruction. Josie Davis of Vermont, Nancy Flower of Ohio, and Robert Hughes of Kentucky, are this year's recipients.

Stacy Hennessy of California is the recipient of the Cecil Brown Memorial Sportsmanship Award for her exemplary sportsmanship in and out of the show ring.

Denny Emerson of Vermont will be honored with the Dr. Albert Lucine Promoter Award for their many years of going above and beyond in breed promotion.

Amanda Hill of Massachusetts will be honored for her breed promotion and outreach with the Young Person Award.

One Morgan will receive special recognition for his work with people with disabilities. This year's honoree is EF Star Performer, a therapy horse at the Sebastian Riding Associates riding barn in Pennsylvania.

Greg Lyons will receive the Morgan International Competition Award for his promotion of the breed in Australia.

Laura Behning of Georgia is the recipient of the 2019 Mabel Owen Media Award for her body of work focusing on color in the breed for The Morgan Horse magazine.

2019 AMHA Star Awards Announced
The American Morgan Horse Association is pleased to announce the 2019 winners of the AMHA Star Awards! This free program to AMHA members was created to increase participation at Morgan competitions, to provide an exciting venue for the awards presentation at the AMHA Convention, and to foster good will and sportsmanship!
The AMHA Annual Convention is joining forces with UPHA Annual Conference this year and will take place at the Marriott Griffin Gate Resort, January 22-25. The Star Awards will be presented on January 25 at the AMHA Luncheon & Awards Presentation and all first-place champions are invited to pick up their award in person! 2019 AMHA Open Competition Winners Announced
AMHA congratulates all the 2019 High-Point Award Winners and those horses that have earned Open Competition Medallions! We appreciate that you and your Morgans are out there promoting our beloved breed. We hope that you and your Morgans continue to enjoy tremendous success together.

AMHA Announces Slate for
2020 Board of Directors

AMHA is pleased to officially announce the slate of candidates for the 2020 Board of Directors. They include:

For one, three-year term, from the Eastern Region:

Did you know that AMHA Bylaw 2.13 requires that each region cast a minimum of 100 ballots to establish a proper quorum and validate the election? This means that even if a particular region has an uncontested race (only one person running for one position), AMHA MUST receive a minimum of 100 properly executed ballots in order to validate the election of that region.

So, even if your region has an uncontested race, AMHA still NEEDS YOUR VOTE! Should AMHA fail to meet this minimum quorum, the cost of running a repeat election is both excessive and wasteful. Please be sure to participate in this important governing process of your association. All 2019 members 18 years of age and older and in good standing are eligible to cast a vote.

AMHA has made every attempt to make voting easily accessible to every eligible member. Members have the option of voting electronically (online), with a paper ballot (Postal Service) or proxy form (designating another eligible AMHA member to vote in person for you AT the annual meeting).

Our official tabulating agent is Survey and Ballot Systems. They send out all the election materials, operate the online voting portal, administer live and proxy voting on-site, submit the final results live at the annual meeting and hold/destroy all election materials in accordance with AMHA Bylaws 3.1 through 3.6. Paper ballots will be mailed on or around November 27, 2019. Electronic ballots will be e-mailed on or around December 5, 2019. Proxy forms will be included with the paper ballot mailing and in the Fall/Winter issue of THE NETWORK newsletter. Be on the lookout for these materials on or around those dates.

Online voting will be open until 11:59 PM (Eastern Time) on Wednesday, January 22, 2020. Paper ballots must be postmarked no later than January 9, 2020 and received by the Tabulating Agent no later than January 17, 2020. Votes can be cast in person or by proxy at the annual meeting locate at the Marriott Griffin Gate Hotel in Lexington, Kentucky on Thursday, January 23, 2020. Live voting will be available on Thursday, January 23, 2020 from 8:00 AM to 10:00 AM (Eastern Time) and Proxy voting will be available on Thursday, January 23, 2020 from 8:00 AM to 9:00 AM (Eastern Time). Designated proxy holders wishing to cast votes in this manner MUST be in line NO LATER than 9:00 AM (Eastern Time) in order to be eligible to cast such proxy votes. No proxy votes will be accepted if presented after the 9:00 AM deadline.

Time To Renew Your AMHA Membership
T he 2020 AMHA Membership renewals were sent the middle of October, so if you haven't received it already, you soon will find it in your mailbox!In this year's renewal envelope, you'll find an important note regarding AMHA's mailing address.
With the imminent move of the home office in Vermont to Kentucky, if you are mailing your membership renewal on or before Saturday, December 7, mail it to the address on the envelope. If you are mailing on or after Sunday, December 8, please mail it to the office's new address: AMHA, 4037 Iron Works Parkway, Suite 130, Lexington, KY 40511. Be assured all mail will be forwarded from the Vermont address to Kentucky, although there may experience a slight delay.

As always, U.S. Premium members receive added benefits, including a subscription to The Morgan Horse magazine and expedited registry services (if all paperwork is complete and proper fees are submitted). Premium members also will receive their "premium" stickers, to affix on the outside of your envelopes each time you submit registry transactions. This will allow you to use this valuable service all year long!

The easiest way to renew is to go online at www.morganhorse.com . Immediately after renewing, you will be able to print your membership card under the tab "My Account" and then accessing "Print My Membership Card." You will have immediate access to print and/or save a copy of your card. You can email a copy to your trainer or instructor and you'll be done!

The Fourth Quarter American Morgan Horse Association, Inc. Board of Directors Meeting was held in Portland, Maine on Saturday, November 9, 2019.
Fourth Quarter Board Meeting Highlights

NMMH Exhibit at Pineland Farms:  The board visited Pineland Farms in New Gloucester, Maine to view the final touches on the National Museum of the Morgan Horse’s Exhibit. The final signage is up and President Mari Sanderson, along with Pineland Farm’s Senior Vice President Erik K. Hayward, CFA cut the ribbon to mark the official opening of the exhibit. The public ribbon cutting and grand opening will be held Saturday, April 11 in conjunction with the Maine Morgan Horse Association’s annual Open Barn Day. There is some false information on social media that eludes to portions of the collection being sold or discarded. Please know that this NOT accurate. Items not on display or storage at Pineland are still safely secured in the Special Collections Library in Middlebury, VT. Once the AMHA headquarters are officially relocated to Kentucky, staff and the board will revisit the options of where to store/house the remainder of the collection currently in Middlebury. The lease on that space does not expire until October of 2020 so that will be revisited again at the April 2020 board meeting. The board takes the mission to maintain the Morgan Horse’s heritage and history very seriously and in no way will let this endeavor falter.

Meeting Minutes:  Meeting minutes from the September 7, 2019 Third Quarter Meeting were approved and are now posted for your review on the Members Only side of the website. (Minutes are posted to this web page once they are formally approved by the BOD or the corresponding committee.)

President’s Report:  Mari Sanderson, during her President’s Report, asked the Board to consider 3 motions including:  

1) To approve the following as the “Official, Statement of AMHA in Response to Bennett Litigation.”  

You may have learned that one of our members and directors, Vicki Bennett, has filed a lawsuit against current and former AMHA board members. Her complaints are wide-ranging, but focus mostly on the management and operation of the Grand National and World Championship Morgan Horse Show® by the American Morgan Horse Educational Charitable Trust (AMHECT), a charitable organization separate and distinct from AMHA. AMHA’s Board, with the exception of Ms. Bennett, firmly disputes the lawsuit’s allegations of mismanagement, and believes Ms. Bennett’s complaint reflects a fundamental misunderstanding of the legal structure and mission of AMHECT.

The AMHA Board supports transparency and open dialogue regarding concerns that members or directors may have concerning AMHA’s governance, finances, and strategic direction. While Ms. Bennett has a right to file whatever lawsuit she believes warranted, it is unfortunate that she chose to raise her complaints in the courts rather than bringing them forward in detail in the course of her service as a member of the AMHA Board, where there would have been opportunity for discussion and evaluation.
 
The AMHA Board members sued by Ms. Bennett have retained counsel to defend them in the litigation, and strongly believe they will prevail in the end. The lawsuit threatens to impose significant costs on the Association, and, unfortunately, those costs will increase as the litigation continues. The Board will make every attempt to minimize these unbudgeted expenses by working through proper Board governing channels.

2) To accept the resolutions of the Board of Directors regarding delegation of authority to the Executive Committee of Board as presented so that the Board hereby delegates to the Executive Committee, pursuant to Section 4.18 of the Bylaws, the authority to take any and all action as may be necessary or helpful to protect the interests of the Corporation in connection with the Lawsuit in the intervals between meetings of the Board, including but not limited to (i) engaging legal counsel to protect the Corporation’s interests, (ii) engaging legal counsel to pursue D&O insurance coverage for its directors, (iii) responding to discovery requests served upon the Corporation, (iv) making public statements with respect to matters raised by the Lawsuit, and (v) taking such other actions as may be necessary or helpful to protect the interests of the Corporation or advance its interests; it being understood that the Executive Committee may take no action that is prohibited by the Corporation’s Bylaws or the New York Not-For-Profit Law; 

and that any policies previously adopted by the Board (including policies reflected in manuals, handbooks, or guides of the Corporation) shall be amended as may be necessary consistent with foregoing resolution; 

and that the foregoing resolutions shall be effective upon their passage.

And

3) To allow the Executive Committee to select and retain legal services as they deem necessary for the protection and benefit of the American Morgan Horse Association, Inc.

All three motions passed unanimously by roll call vote with Central Region Director Vicki Bennett abstaining from the votes.

Grand National Report:  2019 Show Chair, Jeff Gove was present in Portland to provide the AMHA Board of Directors with an overview report of the horse show including the latest financials and initial insights of the success of the show. The Show Committee will be meeting this coming weekend and it was stated that the Committee will be reviewing all comments submitted at the show, via mail and the official survey. Rest assured, this Committee takes your opinions seriously. The Board thanked Chairman Gove for the detailed report and his time.

AMHECT Report:  Executive Director, Carrie Mortensen gave the latest update of the activities of the American Morgan Horse Educational Charitable Trust including the highlights of their meeting held on October 11, 2019 in Oklahoma City, OK. It was noted that the next work of the Trustees including the review of the 2020 AMHECT Memorial Grants (Sebring and Honstein) and that those recipients would be chosen before the end of November. Be sure to watch for the announcements which will be forthcoming shortly!

AMHECT/WMF Stallion Service Auction:  C.A. Lee, III and AMHA Staff member Erica Eulau reported great success of the stallion auction held the very first time to coincide with the Grand National & World Championship Morgan Horse Show® in Oklahoma City, OK. Nearly $75,000 was earned through the online AMHECT/WMF Stallion Service Auction that ended on Saturday, October 19. The net income following expenses will be distributed to the World Morgan Futurity, AMHA Regional Shows, AMHA Show Grants and AMHA for 2020 Marketing Endeavors. The complete list of stallion services donated, final winning purchaser and closing bid prices is available on the AMHA website and will be printed in the Winter/Fall edition of The NETWORK newsletter.

Staff Report:  Website statistics were provided to the Board and Executive Director Carrie Mortensen reported on the happenings at the home office since the last quarterly board meeting. Some highlights include: Development and printing of the Fall/Winter newsletter, THE NETWORK; The Morgan Horse Magazine reporting record breaking ad sales for the Oct. issue; 2020 Membership Renewal has been mailed; Exceptional turn-around time/processing of Registry transactions; and lots of planning, meetings, and focus on the upcoming relocation of the AMHA headquarters.

Relocation Update:  The AMHA headquarters will transition throughout the months of December 2019 and January 2020. Once the transition is complete, AMHA will have 6 employees working remotely from their homes and 4 to 5 employees working in the new headquarters located in Lexington, Kentucky. There are bound to be a few bumps in the road while we iron out the details and get all systems running. Please be patient with us during this monumental transition. As we have more information about the transition, they will be posted on the AMHA website page https://www.morganhorse.com/about/office-relocation/ .

Bylaws:  The Committee is close to finalizing an amendment to the Bylaws that would require Directors to attend a minimum of 50% of the live, in person meetings in order to run re-election when his/her term expires. The draft as submitted to the Board of Directors at this meeting has been sent to the AMHA attorney for final approval before it will be officially voted on at the next, Dec. 18th board meeting. The Committee is also working to improve the Working Committee policies that will set up our working committees for greater success, stability and productivity.

Registry Statistics have stayed very close to last year’s overall numbers which is positive to note since we saw a significant INCREASE in such last year. It was also reported that the previously approved project to transfer the registry records from microfilm to PDF files is currently underway. Two motions were approved including the approval of a disciplinary action and the approval to explore creating AMHA Breeder’s Awards to be given to breeders of select classes at the Grand National & World Championship Morgan Horse Show® beginning in 2020.

Finance:  The Committee reviewed the AMHA fund balances as of October 30, 2019 which were:

*It was noted that the two CD’s that mature each October (TWC and KHP) were temporarily moved to the Rainy Day Fund until the home office transitions to Kentucky and new CD’s can be set up in the local bank accounts that will be established in Lexington.  

The Year to Date Financials ending September 30, 2019 were distributed and reviewed. The Finance Committee will be meeting via teleconference on December 4 to review the 2020 budget prior to it being presented to the board for approval at their December 18 meeting.

The board, having inspected the current exhibit at Pineland Farms as well as the vast storage provided and the time, effort and expense incurred by Rick Lane/Cabot Farms for the operation and administration of the new NMMH Exhibit made the motion to compensate Mr. Lane for services rendered in 2019 at $10,000 and provide a monthly stipend of $1,250 effective as of January 1, 2020. It should be noted that small stipend is a tiny fraction of what it would cost AMHA to lease, maintain and operate a similar sized exhibit with the same storage capabilities. AMHA and NMMH are greatly indebted to Mr. Lane for this unique and productive opportunity to showcase our beloved Morgan horse.

Open Competition:  A brief discussion was held in regards to the difficult nature of administering the AMHA Open Competition program. The continued frustration of a very small fraction of the actual participants has exhausted an excessive amount of staff time and expense. In addition, legal fees to defend the Disciplines Committee and staff’s administration of this program have created an even larger imbalance of expenses compared to income. This program has long been teetering on being eliminated and the Board and the Disciplines Committee will do everything in its power to solve the critical issues at hand but also realize resources are limited and may need to consider all options for long term viability if possible.

Annual Meeting of Members:  The annual meeting of members will be held in conjunction with the UPHA National Conference being held in Lexington, Kentucky from January 22 to 25 at the Marriott Griffin Gate Resort and Hotel. Many of the events will be “shared” endeavors such as the educational forums, off-site Keeneland event with D. Wayne Lucas, barn tour/clinic at Sunrise Stables, and the fabulous and fancy BIG AWARDS night! However, “Morgan” specific events include:  

1) Wednesday, Jan. 22 Committee and Board Meetings
2) Thursday, Jan. 23 Annual Membership Meeting (Live and Proxy Voting)
3) Friday, Jan. 24 NEW AMHA Headquarters Open House
4) Saturday, Jan. 25 AMHA Awards Luncheon

2020 Election:  The 2020 Election for your AMHA Board of Directors will be held in conjunction with the annual meeting mentioned above. The annual meeting will be held on January 23, 2020 at 10:00 AM Eastern time at the Marriott Griffin Gate Resort and Hotel. You will have the opportunity to cast a live vote from 8:00 AM to 10:00 AM on that same morning and if you have been designated as someone’s official proxy, proxy votes will be accepted on that same morning from 8:00 AM until 9:00 AM. Anyone wishing to cast proxy votes must be in line to cast those votes no later than the 9:00 AM Local, Eastern time deadline in order to do so. Members eligible to vote in the 2020 election will have a hard copy ballot mailed to them on or around Nov. 27 and those same members (if they have a valid e-mail address on file) will also receive an electronic ballot on or around Dec. 5. Members may vote using either method but only the LAST vote cast will be counted if duplicate methods are utilized. AMHA Bylaws require a minimum quorum from each region even if the race is uncontested (only one person running). We need you to be sure to take part in this important governance process of your Association.

Ad-hoc Committee Appointments:  President Sanderson appointed, and the Board of Directors ratified the “2020 Promotional & Show Grant Review” Committee to include, Kris Breyer, Carol Fletcher, Harlan Grunden, Steven Handy, Tony Lee, and Terri Sturm.

2020 Regional Shows:  The following Regional Shows were approved for the 2020 competition year.

Appointment of Auditors:  The board approved to have the 2020 Audit and 2020 Taxes completed by the CPA’s at McSoley, McCoy and Company.

US Equestrian:  The board approved the 2020 US Equestrian Affiliate Agreement that was required in order to renew the 2020 Affiliate membership for AMHA. It was noted that the general agreement was a written document to outline the current requirements/bylaws/items already in place in a single, organized and easily accessible document. The attachments include our agreements already in place that outline the following: 1) Offering of competition lite if a show so chooses, 2) Data share of membership so that AMHA memberships are reflected on the US Equestrian membership page (assistance to show secretaries), and 3) Understanding of the Licensing of Officials structure where AMHA hosts their own judges’ schools, etc. In addition, the board appointed Ling Fu Wylie to the open seat of the US Equestrian’s National Breeds and Disciplines Council vacated by Cindy Mugnier.

Equine Medication Monitoring Program Advisory Committee:  The board approved the re-appoint Bill Pettis to serve on the EMMP Committee that monitors the California Drug Testing Program that is currently raising the California Drug testing fee from $5 to $8 per horse per competition. They also agreed to post and publish this fee increase that becomes effective January 1, 2020 on the AMHA website and social media platforms.
