Valuation:
IR initiatives must pivot their messaging heavily toward valuation disconnects demonstrating to remaining or prospective long-only value investors that the company's intrinsic value and cash flows are decoupled from the broader macro sell-off.
Investor Engagement:
Targeting strategies must shift toward specialized small-cap active managers, family offices, and institutional investors who explicitly look for mispriced assets during market rotations. This requires a renewed emphasis in virtual and physical non-deal roadshows (NDRs) to impactfully tell the story in a one-on-one setting.
Playing Defense:
In addition to increased outreach initiatives, IR departments, alongside corporate boards, must shift into an active defense posture as depressed valuations leave many companies at a heightened risk of both shareholder activism and opportunistic takeovers. This includes running regular vulnerability audits, monitoring shareholder cap tables closely for accumulation by activist hedge funds, and preparing management to articulate why remaining independent creates superior long-term value than a distressed buyout.
Monitoring Shareholder Changes:
As market conditions shift, monitoring changes in the shareholder base is critical to ensure IR teams understand who is entering, exiting or changing their position in the company and how these shifts impact the cap table as a whole.
