Top Small Business Legal Issues

Being fantastic at running a small business isn't the only key to growth. In fact, it's often the legal details such as failure to incorporate, unprotected intellectual property, or contractual missteps that distract from the job of growing a company. Below are a few small business lawyers offer their two cents on the top issues that trip up entrepreneurs.


Do you rely heavily on contractors? If so, know that employee misclassification is a top enforcement priority for the  U.S. Department of Labor.

The National Law Review reported that class actions asserting misclassification claims are filed almost daily. It suggested that employers regularly using independent contractors "examine those relationships periodically to ensure that the classification remains defensible."

Visit the IRS online to review the business relationship between you and the people performing the services before hiring them.

Hiring and Firing

Problems often arise early into employment due to a mismatch between skills and responsibilities. Common misconceptions can keep employers from terminating workers who might be a drag on their bottom line. That's because many small businesses are misinformed when it comes to rules on terminating an employee.
The federal law doesn't cover employment except for wage, hours, and discrimination. In most cases if the employee is not doing the job the employer is still able to fire the employee at will-provided there aren't other contractual promises in place.
Businesses can avoid the problem by providing an offer letter or other documentation that outlines the terms of employment and includes a probationary period of 60 to 90 days.

Local Licensing 

While not the riskiest misstep an entrepreneur can make, failing to secure the proper licensing at the local level can cost a small business-and often does. Startups often fail to get their local licensing because they're home-based or prefer to avoid the cost.

Always give a call to your closest level of government, whether it's the city or county, and speak to a community development department or taxation department. Your local secretary of state website also should be able to help.
