2023 Bylaws Resources

Bylaws represent the most important legal document of a PTA. It is critical that all officers understand their bylaws.

Bylaws define the basic governance of your PTA in accordance with state and federal laws, define your mission and purpose, link your PTA to Virginia PTA and National PTA, and establish operating norms, voting rights, and responsibilities of elected officers, committees and members.

All PTAs in Virginia use Uniform Bylaws which can be adapted to document specifics about how your PTA operates. Adaptations should be documented on an Organizational Structure Form and stored in the compliance section of your Virginia PTA provided MemberHub account. Changes to your Organizational Structure Form require 30 day notice and a General Membership vote.

At the May 20, 2023 Virginia PTA Annual Meeting the voting body adopted amendments to the Local Unit, SEPTA, and Council Uniform Bylaws as well as the Virginia PTA Bylaws.

A high level summary of the changes are listed below.

Linked here are the Bylaws documents you should reference in conducting your PTA work. They are also available on the Virgina PTA website.

2023 Highlights of Adopted Bylaws Amendments

  1. Provides flexibility for local units and councils with complicated tax filings by allowing local units and councils who are ineligible to file a Form 990N (e-Postcard) to request an extension to Good Standing requirements. The President of the unit must submit a request in writing before August 1 to the Virginia PTA treasurer to request an extension up to November 15th to complete their 990EZ or 990 filing.
  2. Finalizes the removal of president-elect positions from councils, local units, and SEPTA
  3. Clarifies in the Virginia PTA and council bylaws that the voting body, not general membership, takes votes.
  4. Clarifies that individuals do not have a good standing status -- only council and units have such status with the Virginia PTA.
  5. Allows for remote participation of Virginia PTA delegates during an Annual Meeting as long as there are live communication opportunities provided.
  6. Clarifies that if a treasurer resigns, a financial review is required, covering 1) the time period up to the date of resignation and 2) from that date to the remainder of the fiscal year.
  7. Specifies that a quorum for council business is the lesser of either 1 delegate each from a majority of member units in good standing, or 10 such delegates.
