To the members of the Florida College of Emergency Physicians
,
The Board of Directors is presenting you with changes to our current Bylaws for your approval. These bylaws may be amended by a two-thirds (2/3) vote of the eligible members voting, provided that a notice of proposed amendment(s) has been sent to the members of the Chapter at least thirty (30) days prior to consideration of the amendment language.
The
proposed Bylaws
are enclosed. Please reach out to
Donna Vennero
if you would like to compare them to the current bylaws. Every four years our bylaws are reviewed, and amendments are made to be consistent with the College’s bylaws. Most of the changes are just for clarity and housekeeping. The summary below lists the meaningful changes:
- Clarity was added to the rights of Candidate members in Article III (e.g. a Candidate member cannot run for an Officer position)
- In Article VI a section was added stating that ACEP has the right to cancel membership to be consistent with College rules.
- The timing for notice of “Special Meetings” was shortened to be consistent with model guidelines.
- Clarity was added to Article VI Section 4 in terms of Nominations and Elections of Board members.
- Clarity was added to the notice period for Special meetings.
- Clarity was added to the process of Removal of a member from the BOD.
- In Article VII, sections were added to describe the process of Resignation from Office and Vacancies, to match the same sections under Board Members.
- Clarity in the composition, Chair and voting methods of the Executive Committee were added.
- Clarity in terms of our Parliamentary authority applying to both Meetings and Voting was added.
All of these just clarified the existing practice of our Chapter. Nothing above has changed from the prior Bylaws.
One significant change is listed below, and extremely necessary in light of the COVID-19 Pandemic. The additional sentence is listed in green:
- In Article X, Section 2, we are requesting an amendment allowing for the election of Officers via virtual meeting, if an in-person meeting is not possible:
- Section 2. The election of officers, will be in person by the members of the Board of Directors. If an in person meeting is not possible, then the election can be performed by Board members present during a virtual meeting via a method of reliable reproducibility.
Please notate your approval of the revised Bylaws by voting below. Voting closes on
July 22, 2020
and is limited to one vote per eligible member.
