Key Insights From The
Strategic Partnerships Committee

Chair, Strategic Partnerships Committee
The NACD Pacific Southwest Chapter Strategic Partnerships Committee was organized just over a year ago by a group of enthusiastic and creative directors who are highly engaged in developing relationships with industry and academic groups in the Pacific Southwest geographic footprint. Two of the overriding goals of the group are to raise awareness of the value proposition NACD brings to the table and to develop board opportunities for NACD members in our region.
During 2023, the Committee developed significant relationships with: AZ Bio (the voice of the bioscience industry in Arizona), ASU New Governance Lab (academic governance research), UNLV (Business and Law Schools), UCLA Anderson (the annual Corporate Directors Symposium), UCI (Business School – Annual Audit Committee Conference), Octane (the convening organization of the Orange County medical and technology ecosystem), and BioCom San Diego (the California leader in accelerating life science companies). Our most significant successes were participation in the AZ Bio Bioscience Week in September 2023, the UCI Audit Committee Program in September 2023, and the NACD PSW/UCLA Corporate Directors Symposium in November 2023.
Our success has come, in large part, because of the work of NACD PSW Board Member Dr. Jacque Sokolov. As a result of his leadership, our Chapter is now well positioned to take advantage of the relationship and visibility with AZ Bio.
The Committee plans to replicate this opportunity in other markets served by our Chapter by collaborating with the organizations above to:
- Raise awareness of NACD PSW as the leading corporate director organization in our region
- Promote the value of a strategic board
- Accelerate growth in emerging companies
- Create regional economic development
- Surface board opportunities for NACD PSW members

Blue Ribbon Commission Program Recap

Recently, the NACD Pacific Southwest Chapter hosted a Virtual Program highlighting the latest NACD Blue Ribbon Commission Report on Culture as the Foundation of a High Performance Board.
In case you missed it, the program featured two Members of the NACD Commission, Cynthia Jamison, Commissioner – Chairman, BigLots, Inc. and Darden Restaurants; and Oscar Munoz Commission Co Chair – former CEO and Chairman of United Airlines, Director, Salesforce, CBRE Group, TelevisaUnivision and Archer Aviation. The panel discussion was moderated by Richard Munro, President, NACD Pacific Southwest Chapter.
Some of the highlights were:
- The latest NACD report outlined 10 actions boards can take to define an optimal board culture, reinforce culture and behavioral norms, and address major cultural fault lines.
- As boardroom composition evolves, with many more first-time directors and functional experts, it is important to set clear expectations and integrate directors into the boardroom and its culture.
- Building board culture begins with recruitment and evaluation of cultural fit. Along with needed attributes and functional background, strong candidates should be curious, ask appropriate questions, and understand the board’s strategic nature.
- Public, nonprofit and private equity boards have unique challenges, but all need a strong board culture and agreed-upon behavioral norms for directors.
- One apt analogy for a board is a playground, in which many different personalities, types and human emotions come together.
- Though board culture should reflect some of the foundational elements of the organization’s culture, the board is a different entity, and it must create its own culture to support the organization.

Corporate Directors Symposium 2023
The 16th Annual NACD PSW Corporate Directors Symposium was held in partnership with UCLA Anderson on November 10, 2023 at the Jonathan Club in Los Angeles.
This was the first in-person CDS since 2019, and focused on the topic “Building Resilience: Seizing Opportunity.” It considered opportunities to enhance company resilience through strategy, leadership, governance, risk management, employee capabilities, and reward practices.
Experienced corporate directors, subject matter experts, and C-Suite executives explored the need for boards and company leadership to “plan for the unexpected” given significant shifts in technology, markets, customer expectations, geopolitics, and macroeconomics.
The symposium panels and speakers considered the opportunity and risks in leveraging new technologies such as Artificial Intelligence (AI) to reshape business process capabilities and outcomes. They observed that these investments would improve customer satisfaction and build new market opportunities. They identified the need for investments in employee knowledge building, and amended work processes. They also considered the need for supportive leadership competencies and governance processes to achieve the desired company benefits.

In Memoriam
Edward "Ed" Merino
Ed Merino, longtime active supporter, board member and former Vice Chairman of the NACD Southern California Chapter, which grew into the NACD Pacific Southwest Chapter, passed away peacefully at his home on December 23, 2023, after a long battle with illness.
Ed was a founding leader in corporate governance in Southern California, a long time NACD member, and beloved by many. He was a founding member and Chairman of the Forum for Corporate Directors (FCD) in Orange County, was one of the four original founders of the Corporate Directors Roundtable of Orange County (CDROC), and was a board member and Vice Chairman of NACD Southern California Chapter for many years.
Ed was a mentor and friend to many and was known nationally as a leader in the corporate governance community.
