TO: All Corporate Service Providers and Industry Stakeholders,
The Registrar of Companies advises that the Catalyst Registry System has been updated to allow legal persons to make submissions in accordance with the Beneficial Ownership Exemption Order 2026.
Further to the Registrar's Industry Notice of 25 September 2026, the Beneficial Ownership Amendment Act 2026 took effect on 14 September 2026, and the Beneficial Ownership Regulations 2026 and the Beneficial Ownership Exemption Order 2026 took effect on 25 September 2026.
Beneficial Ownership Exemption Order 2026
The Exemption Order identifies the categories of legal persons that may be exempt from filing beneficial ownership information with the Registrar, subject to the conditions set out in the Order.
Catalyst Registry System Update
With effect from today, legal persons, or their corporate service providers acting on their behalf, may use the Catalyst Registry System to submit a claim of exemption under the Exemption Order. When making a submission, entities will be required to:
-
Select the category of exemption under the Exemption Order on which the entity relies;
-
Confirm that the entity meets the conditions applicable to that category;
- Provide the details of a contact person who is regulated by the Bermuda Monetary Authority. Where the contact person is a legal person, the details of an authorised person of that legal person must also be provided; and
- Provide any supporting information or documents requested by the system.
Entities that rely on an exemption must notify the Registrar through the Catalyst Registry System if they cease to meet the applicable conditions, and must then file the required beneficial ownership information within the prescribed period.
Continuing Obligations
An exemption from filing does not remove the obligation to collect, verify or maintain the required beneficial ownership information and to ensure that it can be provided to the Registrar upon request.
