Right now, the largest generation in history is retiring in record numbers (over 10,000/day). The “Boomers” own 40% (2.3 million) of all small businesses. These businesses have revenue, profits, local brands, established systems and loyal customers … and 60% have no succession plan.

The flip side of Buying a business is Exiting one. In other words, if you learn what makes a business desirable (and valuable) to a buyer, you know what to look for when you are acquiring a business to own. When you master one, you have mastered both…Same toolbelt, same skills.
 
Regardless of whether you are on the buy or sell side, there are mandatory skills required for an investor and a seller to navigate a successful transaction.

You get one shot at exiting your business. You also only get one shot at structuring and buying a business. Getting ready for that shot takes time, expertise, and work. A few owners will optimize their business in anticipation of an exit event because they know exactly what needs to happen to maximize the exit value. A few buyers will know exactly what to look for in valuing a business to acquire and run it post-acquisition.
 
Most buyers and sellers will botch the process and leave hundreds of thousands (or even millions) on the table, or, more commonly, destroy the opportunity. What a waste…so unnecessary!
 
The key to a successful exit or acquisition is to understand three fundamental skills:

  1. The investment skills used by the pros to determine/drive value.
  2. The primary deal structure variables to maximize the likelihood of alignment and agreement.
  3. The financial optics/analysis and buy/sell process to avoid rookie (aka expensive) mistakes.
