Your Contract File Is a Persuasion Document

"The contract file is not merely a record of what happened. It is your opportunity to explain why a reasonable professional chose the path you did."

— Sustained Leadership WBS

Most contracting professionals think of the contract file as a repository. It contains the solicitation, proposals, evaluations, negotiations, determinations, findings, approvals, and award documents. We assemble the file because regulations and policies require it.

I suggest a different perspective.

Your contract file is a persuasion document.

Persuasion takes more than simply filling a file folder. It requires thinking on multiple levels, understanding your varied audiences, and assuring each of them that you acted reasonably. As a reminder, only humans truly think.

Someday, someone who was never in the room may need to understand your decision. An auditor. A successor contracting officer. An Inspector General. A GAO attorney. Perhaps even a judge. They will not know the schedule pressures, the personalities, or the countless conversations that shaped the acquisition. They will know only what your file tells them.

A good contract file does more than document compliance. It demonstrates reasonableness.

That does not mean every reader will agree with your conclusion. In a profession built on judgment, reasonable people often reach different answers. Your responsibility is not to persuade everyone that your decision was the only possible one. Your responsibility is to show that it was a thoughtful, informed, and reasonable decision based on the facts available at the time.

Years after the acquisition is complete, your file may become your only voice.

Make sure it speaks well for you.

P.S. Professional Challenge: Pull out one recent acquisition file. If someone unfamiliar with the procurement read only your documentation, would they understand not only what you decided, but why you believed it was the right decision?
